This is to inform you that the Competition Commission of India (“CCI”), has issued a letter dt.23.09.2026, as received by the Legal counsel appointed for the purpose of obtaining the approval from CCI, on the application filed by the Company, vide the application dt.06.08.2026. CCI has observed that since the turnover of Premier Explosives Limited (Target Company) FY 2025-2026 is less than INR 1250 crores, the proposed combination does not exceed the thresholds specified under the Competition (Minimum Value of Assets or Turnover) Rules, 2024, read with Section 5 ( e) of the Act. Hence, the Target is de minimis for the purposes of asset/turnover thresholds under Section 5(a) to 5( c) of the Act and therefore the proposed combination is not a notifiable transaction under Section 5(d) also. Therefore, it is not a combination as per Section 5 of the Act. Hence, the approval of the CCI is not applicable with respect to the acquisition of shares of Premier Explosives Limited by the Company. Hyderabad, 23rd September 2026: Apollo Micro Systems Limited (NSE: APOLLO | BSE: 540879) (“AMS” or “the Company”), a leading Indian defence electronics and systems company, today announced that the Competition Commission of India (“CCI”), by its order dated 22nd September 2026, has held that the Company’s acquisition of Premier Explosives Limited (“Premier”) is not a combination under the Competition Act, 2002 and therefore does not require the Commission’s approval. AMS had voluntarily filed a notice with the CCI on 11th August 2026, as a measure of abundant caution, in respect of its acquisition of a 41.33% stake in Premier under the Share Purchase Agreement dated 9th July 2026. After reviewing the Company’s submissions, the CCI concluded that Premier’s turnover falls below the thresholds prescribed under both the Deal Value Threshold framework and the de minimis exemption. The notice has accordingly been treated as not required and disposed of. With the CCI position now settled, the open offer to the public shareholders of Premier under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 will move forward. The revised schedule of offer activities, including the tendering period, will be announced by the Manager to the Open Offer in due course.
