Dear Sir/Madam, Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Institution of Writ Petition against Employees’ State Insurance Corporation Ref: NIS MANAGEMENT LIMITED (SCRIP CODE: 544495) In accordance with Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform that the Company has taken steps for institution of a Writ Petition before the Hon’ble High Court at Calcutta against the Employees’ State Insurance Corporation (“ESIC”) in relation to various notices received over a period of time by the Company seeking payment of damages amounting to Rs. 2,16,99,099/- (Rupees Two Crore Sixteen Lakh Ninety-Nine Thousand Ninety-Nine Only). The Company, based on its understanding of the matter and the legal position available to it, is of the view that the claim raised by ESIC is not sustainable and intends to vigorously contest the matter before the Hon’ble High Court. The Company is taking appropriate legal steps to protect and safeguard its interests and rights in the matter. The Company does not presently anticipate any financial liability towards the aforesaid damages, subject to the outcome of the proceedings before the Hon’ble Court.
