Based on the report of the Scrutinizer, all the resolutions as set out in the Notice of the AGM have been duly approved by the shareholders with the requisite majority. In this regard, please find enclosed the following: 1. The proceedings of the AGM pursuant to Regulation 30 read with Schedule III of the SEBI Listing Regulations as Annexure A; 2. Details regarding the voting results in respect of the businesses transacted at the AGM pursuant to Regulation 44(3) of the SEBI Listing Regulations as Annexure B; 3. Pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, the Consolidated Scrutinizer’s Report dated September 23, 2026 on remote e-voting prior to the AGM and at the AGM as Annexure C; and 4. The shareholders of the Company, at the AGM, have, inter alia, approved the following resolutions: a. Re-appointment of Mr. Dipankar Chatterjee (DIN: 06539104) as an Executive Director of the Company for a period of 5 (five) years and to fix his remuneration; and Website: www.signpostindia.com b. Thanking you, Yours Sincerely, For Signpost India Limited Kinjal Mistry Company Secretary & Compliance Officer Encl: As Above Website: www.signpostindia.com Annexure A Proceedings (in brief) of the 19th Annual General Meeting of the Company pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) The 19th Annual General Meeting (“AGM” or “Meeting”) of the Members of Signpost India Limited (“the Company”) was held on Wednesday, September 23, 2026 at 3:30 p.m. (IST) through Video Conferencing (“VC”)/Other Audio Visual Means (“OAVM”) in compliance with the Companies Act, 2013 read with the Rules framed thereunder and the Circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”) and the Secretarial Standards issued by the Institute of Company Secretaries of India. The proceedings of the AGM were deemed to be conducted at the Registered Office of the Company at 126, Jolly Maker Chambers II, Nariman Point, Mumbai – 400021. Ms. Kinjal Mistry, Company Secretary & Compliance Officer informed the Members on various aspects including participation in the AGM through VC/OAVM, facility of remote e-voting and e-voting at the AGM provided by the Company through NSDL, speaker registration and submission of queries before the AGM. She further informed the Members that the Statutory registers and relevant documents were available electronically for inspection by the Members at the AGM. Mr. Girish Kulkarni, Chairperson of the Board, chaired the Meeting. As per the attendance record, 67 members were present through VC at the Meeting and after ascertaining that the requisite quorum was present, the Chairperson called the Meeting to order. The Chairperson introduced all the Directors, Key Managerial Personnel and other invitees present at the Meeting. The Chairperson informed that the Statutory Auditors’ Report on the Annual Financial Statements of the Company for the Financial Year ended March 31, 2026 and the Secretarial Audit report for the said period do not contain any qualifications, observations or comments on financial transactions or matters, which have adverse effect on the functioning of the Company, hence, the same was not required to be read at the AGM. The Chairperson addressed the Shareholders and delivered his speech. After that, Mr. Shripad Ashtekar, Managing Director addressed the Shareholders. The Chairperson then briefed the shareholders about the resolutions proposed to be passed at the AGM. Website: www.signpostindia.com The Chairperson ordered commencement of e-voting for the Members attending the AGM but who did not cast their votes through remote e-voting. He authorised the Company Secretary, to receive the consolidated Scrutinizer’s Report, counter-sign the same and declare the results within prescribed timelines. He, further, informed the Members that the combined results of the remote e-voting before / during the AGM would be announced within the stipulated time frame and the results alongwith the Scrutinizer's Report would be intimated to the Stock Exchanges in terms of the SEBI Listing Regulations and would be placed on the websites of the Company and NSDL. The Company had received few questions in advance from Shareholders. The Managing Director appropriately responded to the questions raised by them. The Company Secretary thanked the Members for their presence and active participation and support extended to the Company and declared the proceedings as closed and concluded on completion of e-voting by Members. The AGM concluded at 4.55 p.m. (IST) and the e-voting facility was kept open for the next 15 minutes to enable the Members to cast their vote. Thereafter the meeting was closed at 5.10 p.m. (IST).
