This is to inform you that the shareholders of the Company at their AGM held on 23rd September 2026 have, inter alia, approved the appointment of Mrs. Shuba Kumar (DIN: 02081919) as an Independent Director of the Company for a term of five (5) consecutive years commencing from 27th July 2026 to 26th July 2031, with requisite majority. The brief profile of Mrs. Shuba Kumar is enclosed as Annexure A. Mrs. Shuba Kumar is not related to any of the Directors and/or Key Managerial Personnel and/or members of the Promoter(s) & Promoter(s) Group of the Company. To the best of our knowledge and information and as confirmed by Mrs. Shuba Kumar, she meets the criteria of independence as prescribed under the Companies Act, 2013 and Listing Regulations and has not been debarred from holding the office as a Director of the Company, by virtue of an Order passed by the Securities and Exchange Board of India or any other such authority. Further, as affirmed by her, she is not disqualified from holding the office as a Director pursuant to the provisions of Section 164 of the Companies Act, 2013. She brings over 28 years of leadership experience in operations, quality management, mergers & acquisitions, and international business across the automotive, aerospace, and semiconductor sectors. She is currently Managing Director of Natesan Synchrocones Pvt. Ltd., where she has led the establishment of a DSIR-recognized R&D centre, the company's expansion into aerospace, and the formation of Kyowa Natesan Synchro Technologies Pvt. Ltd., an Indo-Japanese joint venture. She previously held senior leadership roles at Applied Materials, USA, where she created over US$1 billion in new markets and drove operational excellence through Six Sigma. She also serves as an Independent Director on the Board of India Motor Parts & Accessories Limited (IMPAL).
