Dear Sir/Madam, In connection with the draft Scheme of Amalgamation amongst Go Digit Infoworks Services Private Limited (“Transferor Company”, “GDISPL”) and Go Digit General Insurance Limited (“Transferee Company”, “Company”, “GDGIL”) and their respective shareholders under Sections 230 to 232 read with other applicable provisions of the Companies Act, 2013 (“Scheme”), and in furtherance to our previous submissions dated 19th December 2025, 23rd April 2026, 29th July, 2026, 14th August, 2026 and 1st September 2026, we hereby submit that the Insurance Regulatory and Development Authority of India ("IRDAI"), vide its email dated 4th September 2026, has advised the Company to prepare and submit the Scheme of Amalgamation under Section 35 of the Insurance Act, 1938 (as amended by the Sabka Bima Sabki Raksha (Amendment of Insurance Laws) Act, 2025). In furtherance of the said advisory by the IRDAI, the Scheme has been updated to specifically include the reference of Section 35 of the Insurance Act, 1938 and no changes have been carried out in the Scheme except as detailed in the table enclosed herewith as Annexure 1. The changes in the Scheme are carried out to comply with the Regulatory advisory and do not correspond to any material change or effect to the said Scheme and is limited to incorporating a reference to Section 35 of the Insurance Act, 1938 and the rules and regulations framed thereunder, as advised by IRDAI. Accordingly, the said modification does not alter the essence or substance of the Scheme or of the applications/submissions already made with the respective authorities. We further confirm that no other changes or modifications have been made to the Scheme, except as detailed above. A copy of the revised Scheme is enclosed herewith as Annexure 2. The Scheme remains subject to various statutory and regulatory approvals, inter alia, approval of the Honourable National Company Law Tribunal, Mumbai Bench, Insurance Regulatory and Development Authority of India and the Shareholders.
