Shah, who is the sister of Mr. Amit Chandrakant Shah, along with her husband Mr. Niranjan Shah, are trustees and persons exercising ultimate control over the family trust, namely Kothari Descendants Private Trust, a promoter group entity holding 12.17% of the share capital/voting rights in the listed entity. Accordingly, Mr. Amit Chandrakant Shah does not satisfy the conditions prescribed under Regulation 31A (3)(b)(i) & (ii) of the SEBI LODR Regulations. In light of the above, the application of the promoter for seeking reclassification cannot be considered under Regulation 31A of the SEBI LODR Regulations.
