Sub: Summary of Proceedings of the 51st Annual General Meeting of the Members of Amines &
Plasticizers Ltd. (the Company) held on Wednesday, September 23, 2026.
We wish to inform you that, the 51st Annual General Meeting ('AGM’) of the Company was held today i.e.
September 23, 2026, at 4:00 P.M. (IST) through Two-way Video Conferencing (‘VC’)/Other Audio
Visual Means (‘OAVM’), without the physical presence of its Members at a common venue, in compliance
with the provisions of Companies Act, 2013, and the circulars issued by the Ministry of Corporate Affairs
and the Securities and Exchange Board of India in this regard to transact the business as stated in the 51st
AGM Notice dated August 14, 2026 (‘Notice’). All the items of business contained in the Notice were
transacted. The Venue of the AGM was deemed to be the Registered Office of the Company.
In this connection, please find enclosed herewith the Summary of Proceedings of the 51st AGM of the
Company pursuant to Regulation 30 read with Para A of Part A of Schedule III of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing
Regulations’).
The voting results pursuant to Regulation 44 of the Listing Regulations and Scrutinizer’s Report in
accordance with Section 108 of the Companies Act, 2013, read with Rule 20 of the Companies
(Management and Administration) Rules, 2014 will be submitted in due course.
The AGM concluded at 4:37 P.M. (IST), including 15 minutes provided for e-voting after the conclusion
of the AGM.
The said proceedings are also being made available on the website of the Company and can be accessed at

Summary of Proceedings of the 51st Annual General Meeting of the Members of
Amines & Plasticizers Ltd. held on Wednesday, September 23, 2026
The 51st Annual General Meeting (‘AGM/Meeting’) of the Members of Amines & Plasticizers Ltd. (‘the
Company’) was held on Wednesday, September 23, 2026, at 4:00 P.M. (IST) through Two-way Video
Conferencing (‘VC’)/Other Audio Visual Means (‘OAVM’), without the physical presence of its Members
at a common venue, in compliance with the provisions of Companies Act, 2013, and the circulars issued by
Ministry of Corporate Affairs (‘MCA’) and Securities and Exchange Board of India (‘SEBI’) in this regard.
Mr. Omkar Mhamunkar, Company Secretary, welcomed the Members to the 51st AGM and briefed them on
certain points relating to their participation at the AGM through VC.
Mr. Hemant Kumar Ruia, Chairman and Managing Director of the Company, welcomed the Members,
Directors and other invitees to the Meeting and chaired the AGM. The requisite quorum being present, the
Chairman called the meeting to order.
The Registers as required under the Companies Act, 2013 and other relevant documents mentioned in the 51st
AGM Notice were available for inspection in electronic mode. In compliance with the Circulars issued by
MCA and SEBI, the physical attendance of Members was dispensed with and the requirement of appointing
proxies was not applicable, except for the authorized representatives of corporate shareholders. The Venue
of AGM was deemed to be the Registered Office of the Company.
Mr. Hemant Kumar Ruia, Chairman and Managing Director, introduced Mr. Yashvardhan Ruia, Executive
Director, Mr. Nikunj Seksaria, Independent Director and Chairman of the Audit Committee, Stakeholders
Relationship Committee and Nomination and Remuneration Committee, Ms. Dhanyashree Jadeja,
Independent Director and Chairperson of the Corporate Social Responsibility Committee and Mr. Pragyan
Pittie, Independent Director, Mr. Pramod Sharma - Chief Financial Officer, Mr. Omkar Mhamunkar -
Company Secretary & Compliance Officer, Mr. Manoj Agarwal - Partner of S A R A & Associates, Chartered
Accountants and Statutory Auditors and Mr. Shreyas Athavale - Proprietor of M/s. Shreyas Athavale & Co.,
Practising Company Secretaries and Secretarial Auditors, who were present at the AGM through VC.
There were total 47 Nos. of Shareholders present at the AGM, including 3 Corporate Representatives.
The Chairman further informed that Mr. Shreyas Athavale - Proprietor of M/s. Shreyas Athavale & Co.,
Practising Company Secretaries and Secretarial Auditors, has been appointed as a Scrutinizer, for this 51st
AGM to scrutinize the votes cast through remote e-voting and e-voting during this AGM in a fair and
transparent manner.
With the consent of the Members, the Notice convening the 51st AGM was taken as read. Additionally, the
Chairman stated that since the Annual Report inter alia comprising the Notice of the 51st Annual General
Meeting, Boards’ Report and the Audited Financial Statements for the year ended March 31, 2026, already
been circulated to all the members well in advance and also uploaded on the website of the company, the
same was taken as read.
The Members were apprised that the Statutory Auditors' Report does not contain any qualifications,
observations, comments, or other remarks. The Chairman further informed the Secretarial Audit Report does
not include any qualifications or adverse remarks and since already been circulated to all the members well
in advance and also uploaded on the website of the company, the same was taken as read.
The Chairman also appraised the members about the favorable outcome on the representation made by the
Company in connection with the instances of vacancy in the Audit Committee, Nomination and
Remuneration Committee, and Stakeholders Relationship Committee leading to the alleged non-
compliance with Regulations 18, 19 and 20 of the Listing Regulations and levy of fine by each Stock
Exchange i.e., BSE and NSE and observation in the Secretarial Audit Report for the year 2024-25 and he
informed that the Stock Exchanges have accepted the waiver application vide their communication on 26th
February, 2026 and waived the fine.
Thereafter, the Chairman highlighted the Chairman’s letter. Moving on, the Chairman apprised that there
were nine (9) resolutions for approval at the Annual General Meeting, which have been elaborated in the
Notice of the 51st AGM. He further informed the Members that in terms of Section 108 of the Companies
Act, 2013 read with Rule 20 of Companies (Management and Administration) Rules, 2014 and Regulation
44 of the Listing Regulations, the Company had provided remote e-voting facility to its Members from
Sunday, September 20, 2026 at 09:00 A.M. (IST) till Tuesday, September 22, 2026 at 05:00 P.M. (IST).
He further stated that the Members who are participating in this AGM through VC and who have not voted
through remote e-voting earlier can vote on the resolutions on the commencement of e-voting during the
AGM. Members were informed about opening of voting, which would be closed 15 minutes after the
conclusion of the AGM. He informed the members that Instructions for casting a vote electronically during
the AGM had been provided in the AGM Notice.
In terms of the Notice dated August 14, 2026, convening the 51st AGM of the Company, the Company
Secretary read out the following items of business which were transacted at the AGM through e-voting (i.e.
remote e-voting and voting at the AGM through electronic voting system).
