Dear Sir / Madam, In terms of the provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Nomination and Remuneration Committee (NRC/Compensation Committee) of the Board of Directors of the Company on 14th July, 2026, approved the allotment of 6,62,301 (Six lacs sixty-two thousand three hundred one only) equity shares having face value of Rs. 10/ - each fully paid-up to the certain eligible employees of the Company, who exercised the vested Options, under the Sona Employee Stock Option Plan - 2023 (“ESOP Plan”) of the Company. The equity shares so allotted under the ESOP Plan shall rank pari passu with the existing equity shares of the Company in every aspect, including dividend entitlement. Consequent to the aforesaid allotment, the issued and paid-up equity share capital of the Company stands increased from Rs. 6,22,03,48,370 (Rupees six hundred twenty two crores, three lakhs, forty eight thousand three hundred and seventy only) consisting of 62,20,34,837 (Sixty two crores, twenty lakhs, thirty four thousands, eight hundred and thirty seven only) equity shares having face value of Rs. 10/- each fully paid-up to Rs. 6,22,69,71,380 (Rupees six hundred twenty two crores, sixty nine lakhs, seventy one thousand three hundred and eighty only) consisting of 62,26,97,138 (Sixty two crores, twenty six lakhs, ninety seven thousands, one hundred and thirty eight only) equity shares having face value of Rs. 10/- each fully paid-up.
