Regulations, 2015, this to inform that, the re-classification application submitted by the company for
the re-classification of Mr. Amit Shah from ‘Promoter’ category to ‘Public’ category has been
rejected by the BSE and NSE vide their letters dated September 23, 2026 (bearing no.
LIST/COMP/SJ/219/2026-27) and (bearing no. NSE/LIST/RGL/109/2026-2027), respectively.
The copy of the letters as received from the Stock Exchanges are attached as “Annexure-1” and
“Annexure-2”.

Sub: Rejection letter for Reclassification of Shareholders under Regulation 31A of SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
Dear Sir/ Madam,
This is in reference to your application number 120063, seeking no-objection for reclassification from
the promoter /promoter group (list enclosed below) to public category under Regulation 31A of SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015 ("LODR").

In this regard, your attention is drawn to Regulation 31A(3)(b) of SEBI LODR Regulations which states
that:
"The promoter(s) seeking re-classification and persons related to the promoter(s) seeking re
classification shall not:
(i) together, hold more than ten percent of the total voting rights in the listed entity;
(ii) exercise control over the affairs of the listed entity directly or indirectly;"
Based on the above and relationship details provided by the listed entity, it was observed that the
immediate relative of Mr. Amit Chandrakant Shah (Promoter seeking reclassification) i.e. Mrs. Kalpana
N. Shah, who is the sister of Mr. Amit Chandrakant Shah, along with her husband Mr. Niranjan Shah,
are trustees and persons exercising ultimate control over the family trust, namely Kothari Descendants
Private Trust, a promoter group entity holding 12.17% of the share capital/voting rights in the listed
entity. Accordingly, Mr. Amit Chandrakant Shah does not satisfy the conditions prescribed under
Regulation 31A (3)(b)(i) & (ii) of the SEBI LODR Regulations.
In light of the above, the application of the promoter for seeking reclassification cannot be considered
under Regulation 31A of the SEBI LODR Regulations. The application for reclassification is disposed off
accordingly.

This is in reference to your application number 109, submitted by Renaissance Global Limited(‘Company’) seeking
reclassification of Promoter/Promoter Group (list enclosed below) to public category under the provisions of
Regulation 31A of LODR.

In this regard, you may draw your attention to Regulation 31A(3)(b) of SEBI LODR Regulations which states that:
“31A. Conditions for re-classification of any person as promoter / public
(3) Reclassification of status of a promoter including promoter group, shall be subject to the following conditions:
(b) the promoter(s) seeking re-classification and persons related to the promoter(s) seeking re-classification
shall not:
(i) together, hold more than ten percent of the total voting rights in the listed entity;
(ii) exercise control over the affairs of the listed entity directly or indirectly.
Based on the above and relationship details provided by the listed entity, it was observed that the immediate relative
