I, Parmar Jitendra Pradipbhai, Practising Company Secretary had been appointed as the Scrutinizer by the Board of Directors of the Bridge Securities Limited ("the Company") pursuant to Section 108 of the Companies Act, 2013 ("the Act") read with Rule 20 of the Companies (Management & Administration) rules 2014 as amended by Companies (Management & Administration) Amendment Rules, 2015 to conduct Remote E-Voting as well as remote electronic voting during the 31-Annual General Meeting ("AGM") of the Company, held on Monday, September 21, 2026 at 03:30 p.m. 1ST through Video Conierencing ("VC") I Other Audio Video Means ("OAVM"), in respect of businesses set forth in the notice of 31-1 Annual General Meeting ("ACM") of the Company, in a fair and transparent manner. The AGM of the Company was held on Monday, September 21, 2026 at 03:30 p.rn, 1ST through Video Conferencing ("VC") I Other Audio Video Means ("OAVM") and the voting for items as per the Notice of the AGM was carried out only through remote electronic voting process and remote electronic voting during the AGM, in compliance with applicable provisions of the Act (including any statutory modification or re enactment thereof) read with Rule 20 of the Companies (Management and Administration) Rules, 2014 (the "Rules"), as amended from time to time, and the General Circular No. 14/2020 dated April B, 2020, the General Circular No. 1112020 dated April 13, 2020 in relation to "Clarification on passing of ordinary and special resolutions by companies under the Companies Act, 2013 and the rules made thereunder", the General Circular No. 1112022 dated December 28, 2022 and the General Circular No. 09/2023 dated September 25, 2023, all issued by the Ministry of Corporate Affairs, Government of India (the "MCA Circulars") and Regulation 44 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 201S ("Listing Regulations") read with SEBI Circular dated May 12, 2020, SEBl Circular dated January 15, 2021 and SEBI Circular dated May 13, 2022 in relation to "Additional relaxation in relation to compliance with certain provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations 20lS - Covid 19 pandemic". The deemed venue for the AGM was the registered office of the Company. Responsibility of the Management of the Company The Management of the Company is responsible to ensure compliance with the requirements of the relevant provisions of (i) The Companies Act, 2013 and the Rules made thereunder; (ii) The SEBt (Listing Obligations and Disclosure Requirements) Regulations, 201S and (iii) Secretarial Standard-2 on General Meetings issued by the Institute of Company secretaries of India, relating to Remote E-Voting as well as remote electronic voting during the AGM and holding of AGM through VC or OAVM. Page 1 of 14 Jitendra Parmar & Associates Company Secretaries Mo.: +919408555 517 E·mait. : csjitendraparmar@gmaiLcom Responsibility of Scrutinizer My responsibility, as a scrutinizer, is limited to ensure and scrutinize the voting done through remote e voting and remote electronic voting by Shareholders present during the AGM in a fair and transparent manner and to make a consolidated scrutinizer's report of the votes cast "in favour" or "against" the resolution, based on the reports generated from the e-voting system of National Securities Depository Limited ("NSDL" or "E-voting Agency"). As per the Notice of AGM, below mentioned businesses (resolutions) were proposed for the approval of Members through Remote E-voting and remote electronic voting by Shareholders present during the AGM through VC or OAVM; I. Ordinary Resolutions to receive, consider and adopt the Audited Financial Statements of the Company for the Financial Year ended on 31" March, 2026 and Statement of Profit and Loss together with the notes forming part thereof and Cash Flow Statement for the Financial Year ended on that date, and the reports of the Board of Directors ("The Board") and Auditors thereon; 2. Ordinary Resolutions to appoint a director in place of Mr. Harshad Amrutlal Panchal (Dill: 03274160) who is retiring by rotation and being eligible, offers himsellfor re-appointment; 3. Special Resolutions for Alteration in the Memorandum of Association of the Company pursuant to deletion of clause from the main object cluse; 4. Special Resolutions to change name of the Company and consequent amendment to Memorandum of Association and Articles of Association of the Company; and 5. Special Resolutions for regularization of Appointment of Mr. Sanketkumar Dave (Dill: 02903456) Director as a Non-Executive & Independent Director of the Company; [ hereby report as under; I.
