(IST) through Video Conferencing (‘VC’)/Other Audio-Visual Means (‘OAVM’). The Company, while conducting the Meeting, adhered to applicable provisions of the Companies Act, 2013 (‘Act’) and Rules made thereunder read with circulars issued by the Ministry of Corporate Affairs (‘MCA’) and SEBI. Mr. Kamaljit Singh Scrutinizer for e-voting, Practicing New Delhi Company Secretary The meeting was attended by 140 Members/ representatives of Corporate Members through VC/OAVM. In accordance with Article 45 of the Articles of Association of the Company, Mrs. Urvashi Tilakdhar, Sr. Managing Director, chaired the proceedings of the meeting and informed that the requisite quorum was present, called the meeting to order. Chairperson introduced the Directors attending the meeting and acknowledged the presence of representatives of the Statutory Auditors, Secretarial Auditor for the FY 2025-26, the Scrutinizer for the purpose of remote e-voting held prior and e-voting during and after the AGM Key Managerial Personnels of the Company. The Chairperson requested the Company Secretary to explain the procedural part of the meeting to the Members. Accordingly, Ms. Kokila Arora, Company Secretary, explained the procedural part of the meeting and informed Members with respect to dispatch of Notice & Annual Report through electronic mode, provision for remote e-Voting and also e-Voting facility at the end of AGM through instapoll. After that, the Chairperson made a statement on the business and financial performance of the Company for the financial year ended 31st March, 2026 and outlook for the current fiscal. The Chairperson invited Managing Director & CEO to address the shareholders. Mr. Akshay Dhar, Managing Director & CEO, addressed the shareholders and briefed them about the operations, and about future outlook. Managing Director & CEO had also taken the shareholders through the financial and operational results for the year 2025-26. He briefly touched upon the domestic and world economic situation and the impact of the geo- political developments on the economy. Mr. Akshay Dhar thanked the Directors for their consistent and valuable guidance and contributions. He also thanked the customers, bankers and business associates for their continued trust in the Company. Mr. Dhar expressed sincere gratitude to the employees for their dedication and commitment towards the organization. On conclusion of the address by the MD & CEO, as directed by the Chairperson, Ms. Kokila Arora, Company Secretary explained the resolutions before the meeting as follows: Item No. Description of the Resolutions Type of Resolution Ordinary Business: 1. To consider and adopt: Ordinary Resolution a) The Audited Financial Statements of the Company for the Financial Year ended 31st March, 2026, together with the Reports of the Board of Directors and Auditors thereon; and b) The Audited Consolidated Financial Statements of the Company for the Financial Year ended 31st March, 2026, together with the Reports of the Auditors thereon. 2. Declaration of Dividend on Equity Shares. Ordinary Resolution 3. Appointment of Director Mrs. Urvashi Tilakdhar (DIN: Ordinary Resolution 00294265), who retires by rotation. 4. Appointment of Director Mr. Akshay Dhar (DIN: 01078392), who Ordinary Resolution retires by rotation Special Business: 5. Cost Auditors – Ratification of Remuneration. Ordinary Resolution 6. Payment of Commission to Non-Executive Directors. Ordinary Resolution 7. Alteration of the Articles of Association. Special Resolution After this, the Chairperson invited the shareholders, who had registered themselves to speak at the meeting and informed that they would be called upon to speak by the Moderator one by one and the Managing Director & CEO would reply to their queries/ clarifications, once the speakers finish their questions. He also mentioned that if any of the queries are left out to be replied, the shareholder may email to the Company so that the same can be replied to. All the questions or clarifications sought were appropriately addressed. The Chairperson further informed the Members that the consolidated voting results will be submitted to the Stock Exchanges and will also be made available on the Company's website at https://dsfcl.com/ within 48 hours from the conclusion of AGM. There being no other business, the Chairperson declared the meeting as concluded and informed that the instapoll will remain open for 15 minutes to enable Members to e-vote.
