13 July 2026 BSE Limited The National Stock Exchange of India Limited Phiroze Jeejeebhoy Towers, Exchange Plaza, Bandra Kurla Complex, Dalal Street, Mumbai 400001, Bandra (East), Mumbai 400051, Maharashtra, India Maharashtra, India Scrip Code: 540975 Scrip Symbol: ASTERDM Dear Sir / Madam, Sub: Allotment of equity shares - Regulation 30 of the SEBI (Listing Obligation and Disclosures Requirements) Regulations, 2015 (“Listing Regulations”) Ref: Scheme of Amalgamation between Quality Care India Limited ("Transferor Company") and Aster DM Healthcare Limited ("Transferee Company") and their respective Shareholders and Creditors ("Scheme") Further to our letter dated 25 June 2026, informing the Record Date for the purpose of determining the entitlement of the equity shareholders of the Transferor Company for the allotment of fully paid-up equity shares of face value of INR 10/- each of the Transferee Company, pursuant to the approval of the Scheme by the Hon'ble National Company Law Tribunal, Hyderabad Bench ("NCLT"), vide its order dated 19 June 2026, we wish to inform that, the Board of Directors of the Company, by way of a resolution through circulation, passed on 13 July 2026, considered and approved the allotment of 35,35,51,410 fully paid-up equity shares of face value INR 10/- each of the Company to the eligible equity shareholders of the erstwhile Transferor Company as on the Record Date, in accordance with the approved share exchange ratio specified under the Scheme, i.e., 977 (Nine Hundred and Seventy-Seven) equity shares of the Transferee Company for every 1,000 (One Thousand) equity shares held in the Transferor Company. Consequent to the above allotment, the issued, subscribed and paid-up equity share capital of the Company stands increased from INR 5,18,12,10,290/-, comprising 51,81,21,029 equity shares of face value INR 10/- each, to INR 8,71,67,24,390/-, comprising 87,16,72,439 equity shares of face value INR 10/- each. The equity shares allotted as aforesaid shall rank pari passu in all respects with the existing equity shares of the Company and shall be listed on BSE Limited and the National Stock Exchange of India Limited, in compliance with the relevant provisions of the Listing Regulations and other applicable laws.
