The Board of Directors of the Company at its Meeting held on Monday, July 13, 2026, inter-alia, transacted the following businesses: 1. Financial Results - The Board has approved the unaudited Financial Results of the Company for the Quarter ended June 30, 2026. Independent Auditors’ Report on the unaudited Financial Results of the Company for the Quarter ended June 30, 2026, with unmodified opinion and the declaration in this regard is enclosed. 2. To revoke the proposal for alteration of the Articles of Association of the Company relating to deletion of provisions concerning the Common Seal which was approved in board meeting dated 14.05.2026. Considering the present operational and administrative requirements of the Company, it is now proposed to withdraw the aforesaid proposal and continue with the existing provisions relating to the Common Seal in the Articles of Association. Accordingly, it is proposed to revoke the approval granted by the Board at its meeting held on 14th May, 2026 for alteration of the AOA. The Board deliberated on the matter and, after due consideration, was of the view that it would be appropriate to retain the existing provisions relating to the Common Seal in the Articles of Association. Review Report to The Board of Directors Khaitan Chemicals and fertilizers Limited I We have reviewed the accompanying statement of unaudited financial results of Khaitan Chemicals and Fertilizers Limited ('the Company') for the quarter ended June 30, 2026 ("the Statement"), being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosures Requirement) Regulations, 2015, as amended thereafter, (the "Listing Regulations"). 2. The Company’s Management is responsible for the preparation of the Statement in Accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34, “Interim Financial Reporting” (Ind AS 34) as prescribed under Section 133 of the Companies Act, 2013, as amended, read with relevant Rules issued thereunder and other accounting principles generally accepted in India and in Compliance with Regulation 33 of the Listing Regulations. The Statement has been approved by the Company’s Board of Directors. Our responsibility is to express a conclusion on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410, “Review of Interim Financial Information Performed by the Independent Auditor of the Entity” issued by the Institute of Chartered Accountants ofI ndia. This Standard requires that we plan and perform the review to obtain moderate assurance as to whether the Statement is free of material misstatement. A review of interim financial information consists of making inquiries, primarily of person responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope then an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware ofa ll significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. 4. Based on our review conducted as above, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in the applicable Indian Accounting Standards (Ind-AS) prescribed under Section 133 of the Companies Act, 2013 as amended, read with relevant rules issued thereunder and olher;lrecognized accounting practices and policies generally accepted in India, has not disclosed the information required to be disclosed in terms oft he Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement.
