Subject: Consolidated Scrutinizer Report on Remote E-voting conducted pursuant to the provisions of
Section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management &
Administration) rules 2014 as amended by Companies (Management & Administration)
Amendment Rules, 2015 and Remote Electronic Voting during the 13th Annual General Meeting
of Add-Shop E-Retail Limited, held on Saturday, September 19, 2026 at 04:01 p.m. 1ST through
Video Comerencing (liVC") / Other Audio Video Means ("OAVM").
I, Parmar Jitendra Pradipbhai, Practising Company Secretary had been appointed as the Scrutinizer by the Board of
Directors of the Add-Shop E-Retail Limited ("the Company") pursuant to Section 108 of the Companies Act, 2013 ("the
Act") read with Rule 20 of the Companies (Management & Administration) rules 2014 as amended by Companies
(Management & Administration) Amendment Rules, 2015 to conduct Remote E-Voting as well as remote electronic
voting during the 13th Annual General Meeting ("AGM") of the Company, held on Saturday, September 19, 2026 at
04:01 p.m. IS'!' through Video Conferencing ("VC") 1 Other Audio Video Means ("OAVM"), in respect of businesses set
forth in the notice of 13th Annual General Meeting ("AGM") of the Company, in a fair and transparent manner.
The AGM of the Company was held on Saturday, September 19, 2026 at 04:01 p.m. 1ST through Video Conferencing
C"VC") 1 Other Audio Video Means ("OAVM") and the voting for items as per the Notice of the AGM was carried out
only through remote electronic voting process and remote electronic voting during the AGM, in compliance with
applicable provisions of the Act (including any statutory modification or re-enactment thereof) read with Rule 20 of the
Companies (Management and Administration) Rules, 2014 (the "Rules"), as amended from time to time, and the
General Circular No. 14/2020 dated April 8,2020, the General Circular No. 17/2020 dated April 13,2020 in relation to
"Clarification on passing of ordinary and special resolutions by companies Wlder the Companies Act, 2013 and the
rules made thereWlder", the General Circular No. 11/2022 dated December 28,2022 and the General Circular No.
09/2023 dated September 26, 2023, all issued by the Ministry of Corporate Affairs, Government of India (the "MCA
Circulars") and Regulation 44 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2016 ("Listing
Regulations") read with SEBI Circular dated May 12,2020, SEBI Circular dated January 15,2021 and SEBI Circular dated
May 13, 2022 in relation to "Additional relaxation in relation to compliance with certain provisions of SEBI (Listing
Obligations and Disclosure Requirements) Regulations 2016 -Covid 19 pandemic".
The deemed venue for the AGM was the registered office of the Company.
Responsibility of the Management of the Company
The Management of the Company is responsible to ensure compliance with the requirements of the relevant provisions
of (i) The Companies Act, 2013 and the Rules made thereunder; (ii) The SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 and (iii) Secretarial Standard-2 on General Meetings issued by the Institute of
Company secretaries of India, relating to Remote E-Voting as well as remote electronic voting during the AGM and
holding of AGM through VC or OAV M.
Responsibility of Scrutinizer
My responsibility, as a scrutinizer, is limited to ensure and scrutinize the voting done through remote e-voting and
remote electronic voting by Shareholders present during the AGM in a fair and transparent manner and to make a
consolidated scrutiruzer's report of the votes cast "in favo " . t" the resolUtion, based on the reports
generated from the e-voting system of National Securities De "NSDL" or liE-voting Agency").

I. Ordinary Resolutions to receive, consider and adopt the Audited Financial Statement of the Com~any for the
financial year ended on 31st March, 2026 together with and Statement of Profit and Loss together Wlth the notes
forming part thereof along with Cash Flow Statement for the financial year ended on that date, and the Reports of
the Board of Directors ("The Board") and the Auditors thereon;
2. Ordinary Resolutions to appoint Mrs. Jayshreeben Dineshkumar Pandya (DIN: 06647308). who retires by rotation
and being eligible. offers hirself for reappointment;
3. Ordinary Resolutions to approve material related party transactions with Mis. Dada Organics Limited;
4. Ordinary Resolutions to approve material related party transactions with Mis Dadaji Lifescience Private Limited;
6. Ordinary Resolutions to approve material related party transactions with Mis Scamose International Limited; and
6. Ordinary Resolutions to appoint Mis. Jitendra Parmar & Associates, Practicing Company Secretaries, Ahmedabad
(FRN: S2023GJ903900) as the Secretarial Auditors of the Company for a Period of Five (6) Years;
I bereby report as under;
1. On the basis of the register of members and the list of beneficiary owners made available by the Depositories viz.,
National Securities Depository Limited (NSDL) and Central Depository Services (India) Limited (CDSL), as on
Friday, August 21, 2026, the Company completed dispatch of the Notice of the AGM;
• Through E-Mail on Friday, August 21, 2026 to the members whose E-Mail Id's are registered with
company/depository participant;
• Further, in light of the MCA Circulars referred herein above, for this AGM, those shareholders who had not yet
registered their e-mail address were requested to get their e-mail addresses submitted, by following the
procedure given below;
(a) In case shares are held in physical mode, by providing Folio No., Name of shareholder, scanned copy of
the share certificate (front and back) , PAN (self-attested scanned copy of PAN card), AADHAR (seif-attested
scanned copy of Aadhar Card) through email toinvestor@addshop.co.
(b) In case shares are held in demat mode, by providing DPID-CLID (l6-digit DPID + CLID or 16-digit
beneficiary ID), Name, client master or copy of Consolidated Account statement, PAN (self-attested
scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) through email to
investor@addshop.co.
(c) Alternatively, by sending an e-mail requesttoevoting@nsdl.co.in for obtaining User ID and Password by
proving the details mentioned in Point (a) or (b) as the case may be.
