With reference to the Proceedings of the Board meeting held on 21st August, 2026, submitted with BSE Ltd., the Board of directors at their meeting held today i.e. today 19th September, 2026, reconsidered the matter with respect to issue of Equity Shares on Preferential Allotment Basis and approved the revised the Names of the Proposed Allottee as per Annexure I, the other decisions discussed relating to said matter is applicable without any modifications except the revised Names of the Proposed Allottee. The Board further considered and approved the proposal to make an application to BSE Limited for obtaining the requisite in-principle approval for listing of the Equity Shares proposed to be issued on preferential allotment basis, in accordance with the applicable provisions of the SEBI Regulations and the requirements of the Stock Exchange. The Board authorised the appropriate officer(s) of the Company to make the necessary application, submit requisite documents and information, and undertake all such acts, deeds and things as may be necessary in connection with obtaining the said in-principle approval and completing the proposed preferential issue. The above proposal is in furtherance of the equity infusion/restructuring proposal considered by the Board at its meeting held on 10th July, 2025, pursuant to which the revised share capital structure contemplated equity infusion by the Implementing Entity. The present proposal provides for the issue of 1,20,00,000 Equity Shares, representing approximately 94.81% of the post-allotment capital, as detailed in Annexure-I.
