Summary of Proceedings of 2274 Annual General Meeting of Sicagen India Limited
The 2274 Annual General Meeting (AGM) of the shareholders of Sicagen India Limited
(“the Company”) was held on Thursday, 17t September, 2026 at 03:30 p.m. (IST) i.e. today,
through the Video Conferencing (VC) facilitated by Central Depository Services (India)
Limited (CDSL) through their WebEx platform in due compliance with the relevant
Circulars of MCA & SEBL
Mr. Ashwin C Muthiah, Chairman of the Company presided over the meeting and
conducted the proceedings. The meeting commenced at 03:30 p.m. (IST). The requisite
quorum was present. The Chairman called the meeting to order and welcomed the
shareholders. He also welcomed the Directors, Key Managerial Personnel, Statutory
Auditor and Secretarial Auditor who were present at this AGM. Thereafter, Chairman
delivered his speech, a copy of which is enclosed herewith.
After that, Chairman proceeded to transact the businesses set out in the Notice of the AGM.
With the consent of the Members present, the Notice of the Meeting, Director’s Report and
the Audited Financial Statements were taken as read. The requirement of reading of
Auditors’ report did not arise as there were no adverse remarks or observations in their
Report.
The Members were informed about the remote e-Voting facility made available prior to
the meeting to vote on the resolutions and the facility of venue e-voting was made
available to those members during the meeting, who have not exercised their votes
through remote e-Voting.
The following items were transacted as Ordinary Resolutions at the meeting:
Ordinary Business:
1. Adoption of Standalone and Consolidated Financial Statements of the Company for the
year ended 31st March 2026 and the Reports of the Board of Directors and Auditors
thereon.
2. Declaration of equity dividend for the year 2025-26.
3. Appointment of a Director in the place of Mr. Ashwin C Muthiah (DIN: 00255679), who
retires by rotation and being eligible, offers himself for re-election.
4. Appointment of a Director in the place of Mr. R. Chandrasekar (DIN: 06374821), who
retires by rotation and being eligible, offers himself for re-election.
Special Business:
5. Ratification of the remuneration payable to M/s. J. Karthikeyan & Associates, Cost
Auditor for the financial year 2026-27.

There were no speaker shareholders in the meeting as none of them got registered through
the portal/facility provided by RTA for the same.
Thereafter, Chairman thanked all the stakeholders for their participation, support and co-
operation and declared the meeting as closed around 03:55 p.m. (IST) and also informed
that the venue e-voting facility would remain open for another fifteen minutes.
The Chairman informed that the e-voting results will be announced to the BSE Ltd. within
2 working days from the conclusion of the AGM and will also be uploaded on the website
of the Company and Depository subsequently.
M/s. KRA & Associates, Practicing Company Secretaries, have been appointed as the
Scrutinizers for both remote e-voting and e-voting during the AGM.

Chairman’s Speech
It gives me immense pleasure to welcome you all to the 2204 Annual General Meeting of
Sicagen India Limited.
The Company’s Annual Report for the Financial Year 2025-26 containing the notice of this
AGM, Directors” Report along with its annexures and the Audited Financial Statements,
have already been circulated amongst you and with your kind permission I take them as
read.
We remain confident in India’s growth story, particularly the sustained momentum in
infrastructure investments by the government and private sector, alongside continued
construction activity across homes, small businesses and retail establishments. Sicagen’s
growth is closely aligned with this broader India opportunity, driven by public & private
infrastructure spending, rising consumer spending and the country’s young demographic
dividend.
Before proceeding further, I wish to share a brief update on the economic scenario, key
highlights of the operational performance of the Company and future outlook.
Economic Scenario
The financial year 2025-26 has been a year of both opportunities and challenges. While the
business environment remained dynamic, marked by fluctuations in commodity prices,
geopolitical uncertainties and changing market conditions, your Company remained
focused on operational efficiency, prudent cost management, customer relationships and
sustainable growth.
The Indian economy has continued to demonstrate remarkable resilience despite a
complex global environment. According to the latest official estimates, India’s real GDP is
estimated to have grown by 7.7% during FY 2025-26, with manufacturing and service
sectors making significant contributions to economic growth. Private consumption and
investment activity have also remained important drivers of the economy.
India continues to benefit from its large domestic market, expanding infrastructure,
increasing manufacturing activity, digital transformation and growing investments across
several sectors. The focus on infrastructure development, domestic manufacturing and
self-reliance is creating opportunities across Building Materials, Power & Control Systems,
Industrial Packaging and Speciality Chemicals in which your Company has established a
Ppresence.
The conflict in West Asia contributed to volatility in commodity prices, including steel,
petroleum products, oils and lubricants and chemicals. Several of our customers across
industries were affected by higher logistics costs, supply-chain disruptions and increased
business uncertainty, resulting in deferment of projects and an extension of credit cycles.
