The AGM commenced at 11:30 A.M. (IST) and concluded at 01:32 P.M (IST) (including the time allowed for e-voting during the AGM). A total of 137 Members (including authorized representatives) representing 5,24,99,437 equity shares attended the meeting. Mr. Parveen Kumar Gupta, Chairman of the Company, chaired the Meeting. The Company Secretary confirmed the quorum for the AGM. As, the requisite quorum was present through video conferencing, the Chairman called the meeting to order and commenced the proceedings of the Meeting. The Company Secretary welcomed the Members of the Company and informed that: • The Company was in compliance, with the said circulars and notifications. The Company had made all efforts to enable its shareholders to participate through video conference and vote at the AGM in a seamless manner. • As NSDL had provided e-Voting facility for this meeting, there was no voting by show of hands and there was no proposer/seconder for any resolution placed for voting. • Shareholders were provided with an opportunity to cast their vote through remote e‐Voting facility on the resolutions as set out in the Notice convening this AGM in accordance with the provisions of the Companies Act, 2013 and the Rules issued thereunder and Regulation 44 of SEBI (LODR) Regulations, 2015. • Register of Directors & KMP and their shareholding, the Register of Contracts or Arrangements in which Directors are interested and other relevant documents (if any) as referred in the AGM Notice had been made available electronically for inspection by the members during the AGM. He also briefed the Members about the general instructions for attending the meeting through video conferencing, process of e-voting at the meeting and other matters. Thereafter, the Chairman introduced his fellow directors on the Governing Board of NSDL who were attending this meeting from different locations. He further confirmed that the Chairperson of the Audit Committee, the Chairperson of the Nomination & Remuneration Committee, the Chairperson of the Stakeholders' Relationship Committee, as well as the Statutory Auditor, Secretarial Auditor, and Scrutinizer for the remote e-voting and e- voting process at the AGM, were present at the meeting through VC/OAVM. The Chairman then announced the names of the Key Managerial Personnel of the Company i.e. Company Secretary, Chief Financial Officer and Chief Business Officer who were also attending the AGM. With the permission of the Members, the Chairman took the Notice of the AGM along with the Audited Standalone and Consolidated Financial Statements of the Company for the Financial Year ended March 31, 2026, and the report of Board of Directors thereon, forming part of the Annual Report and being already circulated electronically, as read. Also, the Statutory Auditor's Report as well as the Secretarial Audit Report forming part of the Annual Report, which was circulated electronically to the Members, did not contain any adverse qualification, observation or comments on financial transactions or matters and was considered as read. Further, the Chairman of the Company addressed the members and highlighted NSDL’s successful first full financial year as a listed company, the completion of 30 years of its journey, the outlook for the Indian economy and capital markets, the Company’s commitment to building secure and future-ready market infrastructure. He also expressed his gratitude to shareholders, clients, regulators, market participants, and employees for their continued support and trust. With the request of the Chairman, Mr. Vijay Chandok, Managing Director & CEO of the Company addressed the members and shared his thoughts on the state of affairs of the Company. He also provided an overview of its subsidiaries and discussed the Company’s strategic priorities, market view, key operational updates, Technology initiatives, CSR activities, people agenda, sustainability efforts and investor engagement initiatives.
