NHC Foods Broadens Food Business with Lotmor and Walya's
Acquisitions in cash or share-swap deal at Rs. 6.50 per share
Lotmor Brands and Walya's Beverages to add complementary capabilities as NHC Foods
builds a broader food and beverage platform

Mumbai, 16th September, 2026 : NHC Foods Limited (BSE: 517554), a leading player in the trading,
processing and export of agricultural commodities, has approved investments to acquire controlling
stakes in two food and beverage companies, Lotmor Brands Private Limited and Walya's Beverages
Private Limited. Under the proposed transactions, NHC Foods will acquire up to 88% stake in Lotmor
Brands and up to 80% stake in Walya's Beverages. The consideration may be paid in cash or through
issue of NHC Foods equity shares at Rs. 6.50 per share. The price may also be determined after six
months in accordance with the SEBI ICDR Regulations. The proposed acquisitions are expected to
strengthen the Company's procurement and distribution capabilities and complement its existing
business across the food and beverage value chain.
Lotmor Brands Private Limited brings an established food and beverage business with capabilities
across trading and manufacturing. Incorporated in 2018, the company recorded turnover of Rs. 2.46
crore in FY23 and Rs. 2.60 crore in FY24, while turnover stood at Rs. 1.80 crore in FY25. With its
established operations and positive cash flows, Lotmor can add complementary capabilities to NHC
Foods' business while providing a platform for further expansion.
The second proposed acquisition, Walya's Beverages Private Limited, adds another food and beverage
business to NHC Foods' expansion plans. Incorporated in 2021, Walya's is engaged in manufacturing,
trading, wholesaling, import and export of food and beverage products. After reporting no turnover
in FY23, the company recorded turnover of Rs. 0.71 crore in FY24 and Rs. 0.22 crore in FY25. Its
presence across the food and beverage segment can further broaden NHC Foods' product and market
reach.
Mr. Satyam Shirishchandra Joshi, Managing Director of NHC Foods Limited, said, “Our
approach with these proposed acquisitions is to build on what we already have rather than operate
these businesses in isolation. We are looking to bring complementary businesses into the NHC Foods
ecosystem and create stronger linkages between sourcing, processing, distribution and the end market.
This gives us the opportunity to participate in a wider part of the food business while making better
use of our existing capabilities and relationships. We believe this approach can also provide a more
scalable base for the Company's next phase of expansion.”
India’s carbonated beverage market is projected to reach ₹2.0 Lakh Crore by FY 2027-
28, growing at an 11% CAGR. Through these acquisitions, NHC Foods is strategically
positioned at the intersection of food, innovation, and nostalgia. Lotmor Brands has already
established a robust footprint across more than 20 states and 22,000 retail outlets, including
partnerships with Reliance Smart, D'Mart, and leading quick commerce platforms.
By integrating Lotmor’s capital-efficient manufacturing model and extensive product portfolio into
NHC Foods' established corporate framework, the combined entity aims to rapidly expand its
presence to over 700 modern trade stores and grow its distributor network to over 400 partners.
Alongside the proposed acquisitions, the Board has appointed Mr. Suryakant Dhondu Walavalkar as
Additional Director, designated as Executive Director, effective September 16, 2026, subject to
shareholder approval. Walavalkar, Founder and Managing Director of Lotmor Brands, brings over 28
years of experience across modern trade, distribution and supply chain management. NHC Foods has
also recently entered into a binding Heads of Terms for a proposed manufacturing facility in Liberia
and strengthened its capital base through a Rs. 53.76 crore preferential issue of convertible warrants
and conversion of 19 Foreign Currency Convertible Bonds into 18.18 crore equity shares.
The Company has also delivered a strong improvement in its financial performance in Q1FY27.
Consolidated net profit rose 924% year on year, supported by higher revenue and volumes during the
quarter. The sharp improvement reflects better operating performance and increased business activity
across the Company’s core operations, providing a stronger financial base as NHC Foods expands
across the wider food and agri value chain.
Together, the proposed acquisitions and the strengthening of the leadership team mark another step
in NHC Foods' efforts to build a more integrated food business. By bringing together additional
sourcing, distribution and food and beverage capabilities, the Company is expanding the scope of its
operations and creating a broader platform to participate across the value chain. The move also adds
experienced leadership as NHC Foods works towards building a more diversified and scalable
business.
