APEPL has initiated the contractual handover process of the project to NHAI, in accordance with the terms of the Concession Agreement. Pursuant to Regulation 2(1)(zy)(ii) of the SEBI InvIT Regulations, read with SEBI circular dated May 15, 2026, APEPL will continue to be classified as a SPV, subject to fulfilment of the prescribed conditions. The Investment Manager is evaluating the permissible options for APEPL and will implement the selected course within the applicable regulatory timelines, subject to requisite approvals. Brief details of the Project SPV APEPL is a private limited company incorporated on November 11, 2005, under the erstwhile Companies Act, 1956 (CIN: U63031DL2005PTC349200). APEPL was originally incorporated as “Andhra Pradesh Expressway Limited” a public limited company. Subsequently, it converted into a private limited company, and a fresh certificate of incorporation dated April 23, 2025, was issued. On March 20, 2006, the NHAI and APEPL entered in a concession agreement whereby it was engaged for NH-44 (erstwhile NH 7), between Kothakota in Telangana and Kurnool in Andhra Pradesh (from km. 136+077 in Kothakota to km. 210+699 in Kurnool) in the state of Telangana on Hybrid Annuity Model.
