Proceedings of the 32nd Annual General Meeting of the Members of Medico Remedies
Limited held on Tuesday, 22nd September, 2026 at 4:00 PM through Video Conferencing
(“VC”) or other Audio Visual Means (“OAVM”)
The 32nd Annual General Meeting (AGM) of the Members of Medico Remedies Limited (‘the
Company’) was held on Tuesday, 22nd September, 2026 at 4:00 P.M. (IST) through Video
Conferencing / Other Audio Visual Means (“VC/OAVM”), in accordance with the applicable
circular(s) issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of
India.
Mr. Haresh Mehta - Chairman & Whole-Time Director, CFO of the Company presided over
the meeting and welcomed the Members to the 32nd AGM of the Company. All Directors of
the Company including Mr. Deepak Vekaria, Chairman of the Audit Committee and of the
Nomination and Remuneration Committee and Mr. Bharat Rathod, Chairman of the
Stakeholders’ Relationship Committee, along with Ms. Vidhi Shah, Company Secretary of the
Company, had attended the meeting through VC from their respective locations. Representatives
of the Secretarial Auditor and Representatives of the Statutory Auditors attended the meeting
through VC.
The requisite quorum being present, the Chairman called the meeting to order and commenced
the AGM at 4:00 P.M. A total of 34 Members attended the AGM through VC.
The notice convening the meeting and the Auditors Report were taken as read. The Members
were also informed that the statutory documents including the Register of Director's & their
shareholding and Memorandum & Articles of Association of the Company were available for
inspection.
The Chairman then apprised the Members on e-Voting facility to cast their vote on all resolutions
set forth in the Notice. Members who were present at the AGM and had not cast their votes
electronically were provided an opportunity to cast their votes at the meeting through electronic
voting system even post AGM till 15 minutes of conclusion of meeting. The Company had
appointed Ms. Shreya Shah, Practicing Company Secretary, as Scrutinizer to supervise the e-
Voting process and to provide combined report on voting results of remote e-Voting and e-Voting
at the AGM.
The Chairman then apprised the Members on overview of the operations and the financial
performance of the Company during FY 2026 and its future outlook. Thereafter, he invited
speaker members, who had done prior registrations, to speak and ask questions, if any. 2
shareholders had asked questions regarding the future outlook on status of operations of the
Company in terms of existing as well as new manufacturing unit, which were satisfactorily
answered by the Chairman of the Company.
The Chairman concluded his speech by placing on record his appreciation and gratitude for all
the stakeholders for having reposed their trust and confidence in the Company.
The following items of business, as set out in the notice of the 32nd AGM, were transacted:
ORDINARY BUSINESS:
1. Receive, consider and adopt the audited Financial Statements for the Financial year ended
31st March, 2026, together with the Report of the Board of Directors and the Auditor’s
thereon.
2. Appoint a director in place of Mr. Haresh Kapurlal Mehta (DIN: 01080289) who retires by
rotation and being eligible, offers himself for re-appointment.
SPECIAL BUSINESS:
3. Re-appointment of Mr. Rishit Mehta (DIN: 07121224) as Whole time Director of the
Company.
4. Re-appointment of Mr. Haresh Mehta (DIN: 01080289) as Chairman & Whole-Time
Director of the Company.
5. Increase in Remuneration Payable to Mr. Harshit Mehta (DIN: 05144280), Managing
Director of the Company.
6. Increase in Professional Fees Payable to Ms. Priyal Rishit Mehta, Professional Consultant
of the Company.
7. Increase in Remuneration Payable to Ms. Shweta Harshit Mehta, Regulatory Deputy
Manager of the Company.
The Chairman announced that the e-Voting results along with the Scrutinizers’ Report shall be
informed to Stock Exchanges and also be placed on the website of the Company within two
working days from the conclusion of the meeting. The Chairman then extended the vote of thanks
to all the Board Members and Shareholders of the Company and concluded the Meeting at 4:15
p.m. and e-Voting was kept open for 15 minutes, post AGM for people who had not voted
through remote e-Voting.
