In accordance with Section 108 of the Companies Act, 2013, read with Rule 20 of the Companies (Management and Administration) Rules, 2014, the Company has fixed Wednesday, 23rd September, 2026, as the Cut-Off Date to determine the entitlement of the members to cast their votes for the businesses to be transacted at the ensuing AGM of the Company. Other important information including a detailed procedure for remote e-voting before and during the AGM is provided in the notes to the AGM Notice. Pursuant to Section 91 of the Companies Act, 2013 and the Rules framed thereunder and Regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and Share Transfer Books of the Company will remain closed from Thursday, 24th September, 2026 to Wednesday, 30th September, 2026 (both days inclusive) for the purpose of the 31st AGM. It was a broad business, but that breadth came at a cost: operational complexity, pressure on the balance sheet and a corporate structure that diluted focus. The Reset was Decisive. In 2024, Ind-Swift divested its API and CRAMS business to Synthimed Labs, backed by Bain Capital and Piramal through the India Resurgence Fund, in a I1,650 Crores transaction. Simultaneously, Ind-Swift Limited merged into Ind-Swift Laboratories Limited through an NCLT-approved consolidation, creating a single listed entity. What comes next reveals its full potential. 02 ANNUAL REPORT 2025-26 IND-SWIFT LABORATORIES LTD. 03 Corporate Overview Statutory Reports Financial Statements 02 Innovate Where Formulation Science Meets Commercial Ambition Ind-Swift's R&D centre in Panchkula, recognised by the Department of Science and Technology since 1995, is where the Company's future pipeline takes shape. During FY26, the team grew from 50 to over 70 scientists, the pipeline expanded from 30 to more than 45 active programmes and 15 new products added all targeting Europe, Australia, Canada and Brazil. The direction of this work matters as much as its scale. Ind-Swift is moving beyond conventional oral solid dosages into complex formulation platforms: gastro- resistant pellet systems (MUPS), delayed-release technologies and prolonged- release tablets. During the year, the team developed Mirabegron Prolonged Release Tablets (25 mg and 50 mg), a technically demanding formulation that required precision in release-rate engineering. It also advanced Mesalazine GR MUPS in both sachet and tablet formats and completed Esomeprazole GR MUPS capsules and tablets. Six bioequivalence studies went directly to the pivotal stage, bypassing pilot studies entirely. That is a measure of how much confidence the team has built in its formulation design over the past two years. We are well equipped to develop ointments, creams and gels, with new products targeted for development over the next 2–3 years.
