Pursuant to Regulation 30 and other applicable provisions of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, we inform that the
members of The Karnataka Bank Limited have approved the following resolutions
pertaining to appointment / re-appointment of Directors at the 102nd Annual General
Meeting of the Bank held on September 22, 2026.
1. Resolution No.: 03 - Re-appointment of Mr. Balebail Rajagopal Ashok
(DIN: 00415934), as a Non–Executive, Non-Independent Director of the Bank, who
retired by rotation.
2. Resolution No.: 05 - Appointment of Mrs. Biji Sreekrishnavilas Sankaranarayanan
(DIN: 11534526), as the Executive Director of the Bank.
3. Resolution No.: 06 - Appointment of Dr. M Aruna Shyam (DIN: 11789970), as a
Non-Executive Independent Director of the Bank.
4. Resolution No.: 07 - Appointment of Mr. Parthasarathi Periaswamy (DIN: 08507318),
as a Non-Executive Independent Director of the Bank.
As required by the BSE Circular No. LIST/COMP/14/2018-19 dated June 20, 2018, and
NSE Circular No.: NSE/CML/2018/24 dated June 20, 2018, it is hereby confirmed that
Mrs. Biji Sreekrishnavilas Sankaranarayanan, Mr. Balebail Rajagopal Ashok,
Dr. M Aruna Shyam and Mr. Parthasarathi Periaswamy have not been debarred from
holding the office of a Director by virtue of any order passed by the SEBI or any other
such authority.
Further, in terms of the SEBI Master Circular No.: SEBI/HO/49/14/14(7) 2025-CFD-
POD2/I/3762/2026 dated January 30, 2026, the details of the Directors are furnished in

Since year 2004 he has been in active legal practice,

for the State of Karnataka from the year 2020 to 2023,
representing the State in several important
constitutional, statutory and public law matters
before the High Court and other judicial forums.
He was designated as a Senior Advocate by the
Honourable High Court of Karnataka on December
14, 2021. He has been appearing as a Senior Advocate
before various High Courts and other Courts across
the country, advising and representing clients in
complex and high-stake litigations.

Beyond central banking, Mr. Parthasarathi has
advised leading private sector banks on cybersecurity

He was formerly a Consultant to the Reserve Bank
Innovation Hub, guiding projects on cybersecurity in
the financial sector. Further, he was a Board Member
of Indian Financial Technology and Allied Services
(IFTAS), an RBI subsidiary, for the period 2019 –
2021, where he had overseen technology governance
and sector wide IT initiatives.
