To approve re-appointment of Mr. Ashwani Maheshwari (DIN: 07341295) as an Independent Director of the Company for a second term of 5 (five) consecutive years. 20. To approve and confirm the creation of pledge or other security interest on the shareholding of Material Subsidiary and Sale, Disposal and Leasing of assets of the Material Subsidiaries of the Company. 21. To approve holding an Office or Place of Profit in a Step-Down Subsidiary Company by Mr. Mehul Mohanka (DIN: 00052134), Managing Director & Group CEO of the Company. In this regard, please note that the said Resolution has been passed by the members with requisite majority on September 18, 2026, being the last date of remote e-voting. Please find the enclosed: a) Voting results of the said Postal Ballot activity through remote e-voting, in relation to the aforesaid resolution, pursuant to Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Annexure A). b) The Scrutinizer’s Report dated September 21, 2026, pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014 (Annexure B).
