Postal Ballot Notice dated August 31, 2026 (“Postal Ballot Notice”) issued to the members of the Vedanta Iron
And Steel Limited (“Company”), wherein remote e-voting (“e-voting”) has been made available from 9:00
A.M. (IST) on Tuesday, September 01, 2026, to 5:00 P.M. (IST) on Wednesday, September 30, 2026.
The Members are hereby informed that the Board of Directors of the Company on September 21, 2026, at
03:41 p.m. IST, basis the recommendation of the Audit and Risk Management Committee of the Company, has
resolved to withdraw the following Item Nos. 10 to 16 of the Postal Ballot Notice:
Item No. 10: To approve material related party transaction(s) between the Company and certain Identified
Related Parties of the Company.
Item No. 11: To approve material related party transaction(s) between Sesa Resources Limited (“SRL”), a
material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 12: To approve material related party transaction(s) between Sesa Mining Corporation Limited
(“SMCL”), a material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 13: To approve material related party transaction(s) between Bloom Fountain Limited (“BFL”), a
material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 14: To approve material related party transaction(s) between ESL Steel Limited (“ESL”), a material
subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 15: To approve material related party transaction(s) between Western Cluster Limited (“WCL”), a

Item No. 16: To approve material related party transaction(s) between Desai Cement Company Private Limited
(“DCCPL”), a material subsidiary of the Company and certain Identified Related Parties of the Company.
Consequently, Item Nos. 10 to 16 shall not be considered for approval by the members of the Company under
the present postal ballot process and any votes already casted in respect of Item Nos. 10 to 16 shall not be
taken into account by the Scrutinizer while determining and declaring result of the said Postal Ballot.
Accordingly, the total number of items of business proposed to be transacted through the Postal Ballot Notice
shall stand reduced from 16 items to 9 items.
In this regard, the Company has issued a Corrigendum dated September 21, 2026 (“Corrigendum”) which is
enclosed herewith for your information and records.
The Corrigendum is also made available on the website of the Company at www.vedantaironandsteel.com.

CORRIGENDUM TO THE POSTAL BALLOT NOTICE DATED AUGUST 31, 2026
This corrigendum, hereinafter referred to as the “Corrigendum”, is being issued by Vedanta Iron And
Steel Limited, hereinafter referred to as the “Company”, in connection with the Postal Ballot Notice
dated August 31, 2026, hereinafter referred to as the “Postal Ballot Notice”, circulated to the Members
of the Company for seeking their approval through remote e-voting in respect of the matters set out
therein.
Following a detailed review of the transaction schedules and disclosures forming part of Item Nos. 10
to 16 of the Postal Ballot Notice, the Company has identified the need for further evaluation of the
scope, categorisation and classification of certain proposed transactions, the transaction values and
limits contemplated thereunder, the applicable approval requirements and the corresponding
disclosures proposed to be provided to shareholders.
Accordingly, as a matter of abundant caution and good corporate governance, the Board of Directors
of the Company has decided to withdraw the following items from the Postal Ballot Notice:
Item No. 10: To approve material related party transaction(s) between the Company and certain
Identified Related Parties of the Company.
Item No. 11: To approve material related party transaction(s) between Sesa Resources Limited (“SRL”),
a material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 12: To approve material related party transaction(s) between Sesa Mining Corporation
Limited (“SMCL”), a material subsidiary of the Company and certain Identified Related Parties of the
Company.
Item No. 13: To approve material related party transaction(s) between Bloom Fountain Limited (“BFL”),
a material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 14: To approve material related party transaction(s) between ESL Steel Limited (“ESL”), a
material subsidiary of the Company and certain Identified Related Parties of the Company.
Item No. 15: To approve material related party transaction(s) between Western Cluster Limited

Item No. 16: To approve material related party transaction(s) between Desai Cement Company Private

Consequently, Item Nos. 10 to 16 shall not be considered for approval by the Members of the Company
under the present Postal Ballot process.
Members are further informed that:
a) any votes already casted in respect of Item Nos. 10 to 16 shall not be taken into account
by the scrutinizer while determining and declaring the results of the said Postal Ballot;
b) the remote e-voting process shall continue in respect of the remaining items contained in the
Postal Ballot Notice i.e. Item Nos. 1 to 9;
c) the withdrawal of Item Nos. 10 to 16 shall not affect the validity of the remaining items
contained in the Postal Ballot Notice;
d) all other contents, terms and disclosures contained in the Postal Ballot Notice, except to the
extent modified by this Corrigendum, shall remain unchanged and continue to be valid and
remain in force; and
e) this Corrigendum shall form an integral part of the Postal Ballot Notice and shall be read in
conjunction therewith.
