Dear Sir / Madam,
In compliance with Regulation 30 and 51 of the Securities and Exchange Board of India (“SEBI”)
(Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we
would hereby like to inform that the Board at its meeting held today, i.e. Monday, 21st September, 2026
inter alia, approved the following:
1. Approval for allotment of Equity Shares under the Lloyds Metals and Energy Limited
Employee Stock Option Plan – 2017
Pursuant to Regulation 30 read with Schedule III of the Listing Regulations and Regulation 10(c)
of Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity)
Regulations, 2021, (“SBEBSE Regulations”) the Board of Directors of the Company have
approved, the allotment of 1,41,969 (One Lakh Forty One Thousand Nine Hundred and Sixty Nine
only) Equity Shares of Re. 1 each fully paid to Lloyds Employees Welfare Trust (“ESOP Trust”)
at Rs. 4 per equity share which includes Rs. 3 per equity share as premium under the Lloyds Metals
and Energy Limited Employee Stock Option Plan - 2017 (“LLOYDS ESOP-2017” / “Plan”).
The said Equity shares shall rank pari passu, in all respects with the existing equity shares of the
Company. Pursuant to the aforesaid allotment of equity shares, the issued and paid-up equity share
capital of the Company stands increased to Rs. 56,30,48,920 divided into 56,30,48,920 equity
shares of face value of Re. 1/- each.
The Company has already received in-principle approval in respect of these shares from BSE
Limited and National Stock Exchange of India Limited
The details as required under Regulation 10(c) of SBEBSE Regulations are set out under
Annexure - A.
2. Approval for issuance of Non-Convertible Debentures on private placement basis.
The Board of Directors have approved the issuance of two separate Non-Convertible Debentures
(“NCDs”), aggregating up to Rs. 600 Crore (Rupees Six Hundred Crore Only) and Rs. 950 Crore
(Rupees Nine Hundred and Fifty Crore Only), on a private placement basis, subject to all applicable
regulatory/statutory approvals. The said issuance is within the overall limits previously approved
by the Board of Directors at its meeting held on 05th May, 2026 and the existing in-principle
approval dated 13th October, 2025.
The details required pursuant to Regulation 30 of the Listing Regulations read with Clause
A(2)(2.1) of Annexure 18 of the SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th
November, 2024 (“Disclosure Circular”), has already been provided in the Outcome dated 05th
May, 2026.
3. Approval to increase in capacity of DRI Plants at Ghugus and Konsari.
Further to the Company’s intimations dated 20th January 2023 and 23rd October 2023, the Board
of Directors of the Company have approved the enhancement of the capacity of the DRI Plant at
Ghugus to 8,15,000 MTPA and the DRI Plant at Konsari to 92,400 MTPA. With this enhancement,
the total capacity of the Company’s DRI Plants will exceed 9,00,000 MTPA. The capacity
enhancement will be achieved through debottlenecking measures and optimisation of process and
technological parameters.
The proposed capacity expansion aligns with the Company’s strategy of strengthening its presence
across the complete steel-making value chain, enables efficient utilization of available iron ore
reserves, and facilitates value addition through forward integration with existing sponge iron
facilities. The expansion is also expected to support the Company’s sustained development
objectives while contributing to improved margins and enhanced profitability.
The details required pursuant to Regulation 30 of the Listing Regulations read with Clause
B(3)(3.1) of Annexure 18 of Disclosure Circular, are set out under Annexure - B.
