No: F12287 Enclosure: As above Summary of Proceedings of the 58th Annual General Meeting (“AGM”) of the Company held on September 21, 2026, commenced at 11:00 A.M. through Video Conferencing (“VC”)/Other Audio Visual Means (“OAVM”) In compliance with the provisions of the Companies Act, 2013 (the “Act”), SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the circulars issued by the Ministry of Corporate Affairs (MCA) and Securities and Exchange Board of India, the 58th Annual General Meeting of the Company was held today, i.e. September 21, 2026 through Video Conferencing (“VC”)/Other Audio Visual Means (“OAVM”). On confirmation of the requisite quorum present in the meeting, Ms. Sweta Poddar, Company Secretary and Compliance Officer called the meeting to order with the permission of the Chairman and commenced the 58th Annual General Meeting of the Company. Mr. Akshay Bansarilal Arora, Chairman of the Company chaired the meeting. The Company Secretary informed that the meeting was held through VC/OAVM facility in accordance with circulars issued by the Ministry of Corporate Affairs (MCA) and Securities and Exchange Board of India (SEBI). The Company Secretary welcomed the Shareholders to the meeting. The Chairman of Audit Committee, Risk Management Committee, CSR Committee, Nomination & Remuneration Committee and Stakeholders Relationship Committee were also present at the Meeting. The Company Secretary introduced the Directors attending the meeting and acknowledged the presence of representatives of the existing Statutory Auditors, M/s. KKC & Associates LLP, Secretarial Auditors, Mehta & Mehta, Company Secretaries, and Ms. Nupur Gadekar, Partner from Mehta & Mehta, the Scrutinizer for the purpose of remote e-voting held prior and e-voting during the AGM. All the Directors of the Company were present at the Meeting through VC from their respective locations. All the relevant documents pertaining to the agenda items, as mentioned in the Notice, requiring the approval of the members at the meeting and other documents were made available to the Members for electronic inspection on the MUFG Intime India Private Limited (previously known as Link Intime India Private Limited) platform. The Chairman delivered his welcome address and briefly highlighted the milestones and performance of the Company during FY 2025-26. With the permission of the members, the Notice convening the 58th Annual General Meeting and the Annual Report were taken as read. The Chairman further informed that since the Auditors' Report on the Financial Statements for the financial year ended March 31, 2026, do not have any qualifications, reservations, observations, adverse remarks or disclaimer, the Auditor's Report for the year ended March 31, 2026, were taken as read. Further, the shareholders who have registered themselves as speaker shareholders were given an opportunity to ask questions/ express their views. The queries received from the shareholders were satisfactorily addressed. The Company Secretary then informed the Members, agenda items proposed to be transacted at the meeting as follows: S.N. Agenda Item TYPE OF RESOLUTION Ordinary Business: 1. To receive, consider and adopt the Audited Standalone Financial Ordinary Statements of the Company for the financial year ended March 31, 2026, together with the Reports of the Board and the Auditors thereon. 2. To declare dividend of Re.1.20 (One Rupee and Twenty paise only) for Ordinary the financial year ended March 31, 2026. 3. To re-appoint Mr. Naresh Suryakant Shah (DIN: 03073963), who retires Ordinary by rotation in terms of Section 152(6) of the Companies Act, 2013 and being eligible, offers himself for re-appointment. 4. Re-appointment of M/s. KKC & Associates LLP, Chartered Accountants Ordinary as the Statutory Auditors of the Company Special Business: 5. Re-appointment of Mr. Akshay Bansarilal Arora, (DIN: 00105637) as the Special Whole-Time Director and Executive Chairman of the Company. 6. Re-appointment of Mr. Shiven A. Arora (DIN: 07351133) as Managing Special Director of the Company. The Company Secretary informed the members that the Company has engaged the services of MUFG Intime India Private Limited (previously known as Link Intime India Private Limited) (“MUFG”) for providing remote e-voting facility to the members for 3 days from Friday, September 18, 2026 (9:00 a.m. IST) and ends on Sunday, September 20, 2026 (5:00 p.m. IST). The facility for e-voting was also made available during the AGM for Members who had not cast their vote through remote e-voting, in accordance with the provisions on e-voting framed under the Act. Further, the Company Secretary informed that Ms. Nupur Gadekar, Partner at M/s. Mehta and Mehta, Practicing Company Secretaries, was appointed as Scrutinizer to scrutinize the e-voting process in a fair and transparent manner. Further the voting results would be declared within stipulated time under applicable laws and the results will be submitted to stock exchanges and will be also available at Company and MUFG website. The Chairman then authorized the Company Secretary to receive the Scrutinizer’s Report and declare the results of voting. The Chairman then thanked the Members for their continued support and for attending and participating in the Meeting. He also thanked the Directors for joining the Meeting virtually. Thereafter, the AGM concluded at 11:44 AM (IST) (including time allowed for e-voting at AGM).
