In this regard, please find enclosed herewith summary of the proceedings of the EGM, pursuant to Regulations 30 and 51 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’). The resolution set out in the Notice of the EGM has been passed with requisite majority. The summary of the proceedings is available on the Company’s website at www.piramalfinance.com. Summary of the proceedings of Extraordinary General Meeting The EGM of the Company was held on Saturday, 19th September, 2026 at 11:00 a.m. (IST) through Video Conferencing (‘VC’)/Other Audio-Visual Means (‘OAVM’) in accordance with the circulars issued by the Ministry of Corporate Affairs and SEBI. Mr. Anand Piramal, Chairman of the Company was deemed to be interested in the resolution passed at the EGM and hence he did not attend the Meeting. Mr. Jairam Sridharan, Managing Director & CEO of the Company was appointed by the Board of Directors as the Chairman of the Meeting. Apart from Mr. Piramal and Mr. Asheet Mehta, Independent Director, Mr. Rajiv Mehrishi, Chairman of the Audit Committee and Stakeholders Relationship Committee, Mr. Suhail Nathani, Chairman of Nomination and Remuneration Committee and other Directors were present at the Meeting. The requisite quorum being present, the Chairman of the Meeting called the Meeting to order. The Members were informed that live proceedings of the EGM were also made available on the e-voting website of National Securities Depository Limited (‘NSDL’). The Members were also informed that in accordance with the provisions of Section 108 of the Companies Act, 2013 (‘the Act’) read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of the SEBI Listing Regulations, the Company had provided remote e-voting facility to its Members for casting of the votes through electronic means. The remote e-voting commenced on Wednesday, 16th September 2026 at 9:00 a.m. (IST) and ended on Friday, 18th September, 2026 at 5:00 p.m. (IST). The facility for e-voting was also made available during the EGM for Members who had not cast their vote through remote e-voting, in accordance with the provisions on e-voting framed under the Act. The Members were informed that, Mr. Bhaskar Upadhyay failing him Mr. Bharat R. Upadhyay, of N L Bhatia & Associates, Practicing Company Secretaries were appointed as the Scrutinizers to scrutinize the process of remote e-voting and e-voting during the EGM. The Chairman of the Meeting further informed that the relevant statutory registers and documents were available for inspection, electronically, during the EGM. With the consent of the Members present, the Notice dated 24th August, 2026 along with the Corrigendum dated 11th September, 2026 convening the EGM was taken as read. Thereafter, the following item of business, as set out in the Notice convening the EGM held on Saturday, 19th September, 2026, was transacted, and the resolution relating thereto was put to vote and duly passed by the Members with the requisite majority: Item Particulars of the Resolution Type of No. Resolution 1 Approval to raise capital by way of issuance of warrants Special Resolution convertible into equity shares by way of a preferential issue on a private placement basis to Nithyam Realty Private Limited belonging to the Promoter Group of the Company, for an amount aggregating up to Rs. 1750,03,40,000 (Rupees One Thousand Seven Hundred and Fifty Crore Three Lakh Forty Thousand only) The Chairman of the Meeting then invited the Members who had registered themselves as speakers to express their views, ask questions and seek clarifications on the resolution proposed and thereafter responded to the queries raised by them. The Members were informed that the voting results along with the consolidated report of the Scrutinizer shall be disseminated to the Stock Exchanges and will also be placed on the website of the Company and NSDL, within the prescribed statutory timelines. Thereafter, the EGM concluded at 11:35 a.m. (IST).
