Ref: Application under Regulation 37 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“LODR Regulations”) for the Scheme of Merger by Absorption between Hinduja Leyland Finance Limited (“Transferor Company”) into NDL Ventures Limited (formerly known as NXTDIGITAL Limited) (“Transferee Company”) and their respective shareholders under Sections 230 to 232 of the Companies Act, 2013 (“Scheme”). This is in furtherance to our earlier intimation dated August 20, 2026, regarding Interim Order passed by the Hon’ble National Company Law Tribunal, Mumbai (Hon’ble NCLT) and fixing September 18, 2026 as the date of hearing. We wish to inform you that the above captioned matter was listed today i.e. September 18, 2026, for final hearing before the Hon’ble NCLT. The Hon’ble NCLT has directed the Regional Director (Western Region, Mumbai), Ministry of Corporate Affairs, to file their report within a week and has fixed October 01, 2026, as the date for final hearing and disposal.
