PROCEEDINGS OF 6TH ANNUAL GENERAL MEETING OF SARASWATI SAREE DEPOT LIMITED (“THE
COMPANY”)
The 6th Annual General Mee(cid:415)ng (‘AGM’) of Saraswa(cid:415) Saree Depot Limited (‘the Company’) was held
today i.e. Friday, September 18, 2026 at 4.00 P.M. IST through Video Conferencing / Other Audio-Visual
Means (‘VC/OAVM’). The AGM commenced at 4:00 P.M. IST. The Mee(cid:415)ng was conducted in accordance
with relevant Circulars issued by the Ministry of Corporate Affairs (‘MCA’) and the Securi(cid:415)es and
Exchange Board of India (‘SEBI’). The Company had taken all the requisite steps to enable Members to
par(cid:415)cipate and vote on the items of businesses considered at the AGM.
Further, the Registers as required under the Companies Act, 2013 and other documents were available
for inspec(cid:415)on in electronic mode.
Ms. Vidhi Bharat Oswal, Company Secretary and Compliance Officer of the Company welcomed all the
Members and briefed them on certain points rela(cid:415)ng to par(cid:415)cipa(cid:415)on at the Mee(cid:415)ng through VC. The
Board of Directors had appointed Mr. Devendra V. Deshpande, proprietor, of M/s. DVD & Associates,
Prac(cid:415)cing Company Secretary, as a scru(cid:415)nizer for scru(cid:415)nizing the remote e-Vo(cid:415)ng process as well as
e-Vo(cid:415)ng at the AGM in a fair and transparent manner.
The requisite quorum being present, with the permission of Chairman the Mee(cid:415)ng was called to order.
Then, Ms. Vidhi Bharat Oswal, Company Secretary and Compliance Officer of the Company introduced
the Directors and the Chief Financial Officer of the Company who were present. She informed that Mr.
Vinod Dulhani, Managing Director & CEO of the Company, was granted leave of absence. The
representa(cid:415)ve of Statutory Auditor and Secretarial Auditor were also present at the Mee(cid:415)ng through
VC. She further informed to the members that the No(cid:415)ce of 6th AGM of the Company and Annual
Report for the financial year ended March 31, 2026 was sent electronically to the members whose
email addresses were registered with the Depository Par(cid:415)cipant (‘DP’) and le(cid:425)ers were sent to the
members whose email addresses were not registered with DP.
The Members were informed that the Secretarial Auditor have unqualified opinion in their audit
report for the financial year 2025-26. Whereas, there is one qualification in the report of Statutory
Auditor to which the Board has appropriately replied. With the permission of the Members, the Notice
and audit reports from the statutory auditor and secretarial auditor was taken as read. She further
informed that the Company had provided through Bigshare Services Private Limited the facility of
remote e-Voting which commenced on Tuesday, September 15, 2026 at 09:00 A.M. IST and ended on
Thursday, September 17, 2026 at 05:00 P.M. IST and also a facility of e- Voting during the AGM for
members of the Company to cast their votes electronically was made available, for those members
who had not voted earlier through remote e-Voting.
She then requested Mr. Rajesh Dulhani, Chairman of the Company to address the Shareholders. Mr.
Rajesh Dulhani, Chairman, delivered his speech and also addressed the members on behalf of the CEO
& Managing Director. He briefed the Shareholders on the Company’s heritage, future outlook of the
tex(cid:415)les industry and the vision at Saraswa(cid:415) Saree Depot Limited.
Addressing on behalf of the CEO & Managing Director as well, the Chairman highlighted the
Company’s key developments, including the performance of the 15,000 sq. ft. flagship retail outlet in
Kolhapur launched in June 2025, the pilot entry into the men’s ethnic wear segment during the festive
season, and the amendment to the Memorandum of Association to include real estate development
as an additional object approved with 99.95% shareholder votes. For FY26, the Company reported
Revenue from Operations of ₹6,311.62 million, EBITDA of ₹378.08 million, and Profit After Tax of
₹234.06 million. The Company remained net debt-free with finance costs declining by 56% and
declared an interim dividend of ₹1.515 per share. He further emphasized strategic initiatives in
product innovation, supply chain efficiency, digital adoption and e-commerce, with priorities for FY27
focused on working capital optimization, margin enhancement, scaling retail and men’s ethnic wear
initiatives, prudent evaluation of real estate opportunities and strengthening governance standards.
Then Ms. Vidhi Bharat Oswal, Company Secretary and Compliance Officer informed the members
about certain aspects pertaining to ques(cid:415)ons and answers. Then the floor was open for discussion
with the registered speakers.
The queries made by the Shareholders were duly responded by Mr. Rajesh Dulhani, Chairman of the
Company and the formali(cid:415)es pertaining to e-Vo(cid:415)ng was informed followed by vote of thanks.
