Brief Profile of Mr. Ashwinkumar Patel is as under: Mr. Ashwinkumar Patel is a Fellow Member of the Institute of Company Secretaries of India (ICSI). He has over 20 years of overall experience in secretarial and legal functions, corporate law compliance for listed and unlisted companies, securities law, corporate restructuring, due diligence, litigation, and legal case management, among other areas. He has served in various positions/roles at Electrotherm (India) Limited for approximately 18 years. 2) Appointment of Mr. Piyush Pankaj, currently serving as the Business Head – B2B (CATV & Broadband) and Chief Strategy Officer of the Company, as Chief Financial Officer (Key Managerial Personnel) of the Company with effect from October 1, 2026, in place of Mr. Saurav Banerjee who superannuates on September 30, 2026 (close of business hours). Brief Profile of Mr. Piyush Pankaj is as under: Mr. Piyush Pankaj has over 28 years of experience and has been associated with the Company for the last 10 years and has held various positions during this tenure, currently serving as Business Head – B2B (CATV & Broadband) and Chief Strategy Officer. Mr. Piyush Pankaj is a Chartered Financial Analyst (CFA) and holds an MBA in Finance & IT from the Institute of Chartered Financial Analysts of India (ICFAI). His appointment is subject to the approval of the members of the Company and upon such approval, he shall be liable to retire by rotation in accordance with the provisions of the Companies Act, 2013 and the Articles of Association of the Company. Mr. Gurjeev Singh Kapoor is not related to any Director of the Company. In accordance with the circular dated June 20, 2018 issued by the Stock Exchanges, we hereby confirm that Mr. Gurjeev Singh Kapoor is not debarred from holding the office of Director by virtue of any order passed by the Securities and Exchange Board of India (SEBI) or any other such authority. Brief Profile of Mr. Gurjeev Singh Kapoor (DIN: 10278179) is as under: Mr. Kapoor is a media industry veteran with over 30 years of leadership experience. He has spearheaded strategic growth and transformed business operations to achieve sustained excellence. Mr. Kapoor currently holds the position of Chief Executive Officer (CEO) at Hathway Cable and Datacom Limited (HCDL). Prior to his joining HCDL, he has worked at companies such as ESPN, Discovery and Sony Pictures. Most recently, he served as the Head of Distribution & International business at Disney Star, where he played a key role in scaling the global distribution and driving revenue growth. He holds a Bachelor of Engineering degree from Delhi College of Engineering, an MBA specialising in marketing management from the Faculty of Management Studies, Delhi and a diploma in Digital Business leadership from Cornell University. The Board of Directors also noted the resignation tendered by Mr. Tavinderjit Singh Panesar (DIN: 09099802), Non-Executive Non-Independent Director, as a Director of the Company due to personal reasons with immediate effect.
