The proposed ra(cid:415)onalisa(cid:415)on and consolida(cid:415)on is intended to simplify the exis(cid:415)ng structure of the Group's Philippine opera(cid:415)ons, thereby improving opera(cid:415)onal, administra(cid:415)ve and cost efficiencies and strengthening management and governance oversight. This simplified structure will, in turn, be more scalable and be(cid:425)er aligned with the Company's interna(cid:415)onal growth strategy. The details as required under Regula(cid:415)on 30 of the SEBI Lis(cid:415)ng Regula(cid:415)ons read with the applicable SEBI Master Circular Ref. No. HO/49/14/14(7)2025-CFDPOD2/ I/3762/2026 dated January 30, 2026 are enclosed herewith as Annexure A. Par(cid:415)culars Details 1. Details and reasons for Nephrocare Health Care Services Philippines, Inc. restructuring (“Nephrocare PH”), a step-down subsidiary of the Company held through Nephrocare Health Services Interna(cid:415)onal Pte. Ltd., Singapore, operates the Group’s business in the Philippines through mul(cid:415)ple wholly-owned subsidiaries. As part of the Group’s ongoing efforts to simplify its corporate structure and enhance opera(cid:415)onal efficiency, the Group proposes to ra(cid:415)onalise and consolidate its exis(cid:415)ng Philippine subsidiary structure into a smaller number of opera(cid:415)ng en(cid:415)(cid:415)es. The proposed consolida(cid:415)on is expected to streamline administra(cid:415)ve and compliance processes, op(cid:415)mise costs and strengthen management and governance oversight. The consolida(cid:415)on will be implemented in a phased manner, subject to applicable laws and receipt of requisite approvals in India and the Philippines. 2. Quan(cid:415)ta(cid:415)ve and/or qualita(cid:415)ve The proposed ra(cid:415)onalisa(cid:415)on and consolida(cid:415)on is an effect of restructuring internal reorganisa(cid:415)on of the Group’s Philippine opera(cid:415)ons, aimed at simplifying the exis(cid:415)ng en(cid:415)ty structure and enhancing opera(cid:415)onal, administra(cid:415)ve and compliance efficiencies. The transac(cid:415)on will not involve any third-party investor or result in any change in the Company’s ul(cid:415)mate economic interest or control over the Philippine opera(cid:415)ons. The transac(cid:415)on is proposed to be accounted for as a common-control transac(cid:415)on in accordance with the applicable accoun(cid:415)ng framework. 3.
