Alteration of the Memorandum of Association of the Company The Board of Directors approved the proposal for alteration of the Memorandum of Association of the Company by insertion of additional objects under the Main Objects Clause, as set out in Annexure-A, subject to the approval of the shareholders of the Company through Postal Ballot and such other approvals as may be required under the applicable laws. 2. Merger of Imeds Global Private Limited into Avantel Limited The members of the Board had considered the proposal of Merger of Imeds Global Private Limited (“Transferor Company”), a wholly owned subsidiary of the Company, into Avantel Limited (“Transferee Company”), pursuant to Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”).
