18th September, 2026 To, To, BSE Limited National Stock Exchange of India Limited Phiroze Jeejeebhoy Towers, Exchange Plaza, 5th Floor, Plot No. C/1, G Dalal Street, Block, Bandra Kurla Complex, Bandra Mumbai – 400 001 (East), Mumbai- 400 051 BSE Scrip Code: 539141 NSE Symbol: UFO Dear Sir/ Ma’am, Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015 – Update on pending litigation Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and further to our intimation dated 12th March, 2025, we hereby inform you of an Order dated 17th September 2026 (“Order”) passed in the arbitral proceedings between UFO Moviez India Limited ("Company") and TSR Films Private Limited ("TSR"). The proceedings arise from the Advertisement Agreement dated 23rd December, 2023 ("Agreement") relating to in-cinema advertising rights on TSR screens. A Sole Arbitrator was appointed in June 2025. However, TSR terminated the Agreement by notice dated 23rd September, 2025 (“Notice”) during the pendency of the arbitration. Upon receipt of the Notice, the Company had filed an interim application (“Interim Application”) under Section 17 of the Arbitration and Conciliation Act, 1996, seeking continuation of the contractual arrangement pending the arbitration. Subsequently an interim status quo was granted by the Sole Arbitrator on 1st October, 2025 and had been operating since then. However, TSR after a passage of 10 months, challenged the continuation of the status quo order before the Sole Arbitrator on 29th July, 2026. Now, by this Order dated 17th September, 2026, the Sole Arbitrator dismissed the Interim Application on technical grounds as a result of which the earlier interim order granting status quo was withdrawn. As a result, the Agreement now stands terminated. No costs, damages or other monetary liability have been imposed on the Company. The Order is confined to the interim application and states that it does not adjudicate the merits of the case i.e. the claim petition and the defense and counter claim filed by the parties in the arbitration and this Order has no bearing in the main case. As such the respective claims of the parties remain pending before the Sole Arbitrator, and the Company's defense and counterclaim are unaffected. The Company is evaluating the order with its legal advisers and will take appropriate steps to protect its interests.
