CA-31022/2/2025-CA-PNG (54537) dated 17.09.2026 has been received from the Ministry of Petroleum and Natural Gas, Government of India (MoP&NG) nominating Shri Manoj Kumar Sharma, Executive Director, Indian Oil Corporation Limited as a Director (Projects) of GAIL with effect from the date of his assumption of charge of the post till the date of his superannuation i.e. 30.04.2031 or until further orders, whichever is the earlier. The Board in its meeting held on 18.09.2026 approved the appointment of Shri Manoj Kumar Sharma (DIN 08821234) as an Additional Director of the Company with effect from the date of his assumption of charge to the post of Director (Projects) of the Company. a) Brief Profile of Shri Manoj Kumar Sharma is as under: Shri Manoj Kumar Sharma holds a Master’s Degree in Mechanical Engineering (Production & Industrial Engineering) from Delhi College of Engineering (DCE) and a Post Graduate Diploma in Business Management from Xavier Institute of Management, Bhubaneswar (XIMB). With over three decades of distinguished experience in the oil and gas sector, Shri Sharma has developed extensive expertise across the entire value chain of hydrocarbon infrastructure, encompassing design and engineering, project management, procurement, construction management, and operations and maintenance of crude oil, petroleum products, LPG, and natural gas pipeline networks, as well as strategically significant crude oil terminal projects. Shri Sharma served as Executive Director and Regional Head of Eastern Region Pipelines at Indian Oil Corporation Limited (IOCL). In this role, he led the operations and maintenance, construction, and city gas distribution (CGD) businesses across five states, overseeing an extensive pipeline network exceeding 5,700 km. He also held the position of Executive Director (Projects) in IOCL’s Pipelines Division, where he was responsible for the engineering, procurement, and construction management of major oil, LPG, and natural gas pipeline projects in India as well as globally. Shri Sharma has served on the Boards of GSPL India Transco Limited (GITL), GSPL India Gasnet Limited (GIGL), and Kochi Salem Pipeline Private Limited (KSPPL) as Nominee Director representing IOCL, contributing to strategic governance and sectoral development. He brings a wealth of leadership experience and a proven track record in board-level governance, project execution, business development, operational excellence, and cost optimization. His deep understanding of energy infrastructure, coupled with his commitment to innovation and emerging energy initiatives, positions him as a key contributor to the growth and transformation of the energy sector. b) Disclosure of relationships between Directors: - Shri Manoj Kumar Sharma does not have any inter-se relation with other Director(s) of the Company. c) Further, it is to affirm that Shri Manoj Kumar Sharma is not debarred from holding the office of Director by virtue of any SEBI/ Ministry of Corporate Affairs or any such statutory authority. The Company is taking necessary action to complete the appointment formalities and requisite disclosures in this regard will be submitted in due course.
