In continuation of the earlier intimation dated September 16, 2026, we wish to inform you that
Scrutinizer’s Report w.r.t. to the 16th Annual General Meeting (“AGM”) of the Company held on
Wednesday, September 16, 2026 through Video Conferencing (“VC”) / Other Audio-Visual
Means (“OAVM”) has been received by the Company on September 17, 2026 at 05:40 P.M. All
the business items as placed in the AGM were approved and passed by the Members with
requisite majority.
Please find below the disclosure of material events / information under Regulation 30 read with
Schedule III of the SEBI (LODR) Regulations, 2015 as amended from time to time and SEBI
Circulars issued therein:
1. Re-appointment of Mr. Nikhil Omprakash Gahrotra, (DIN: 01277756), who retired at the
AGM and being eligible was re-appointed as the Non-Executive Nominee Director of the
Company, liable to retire by rotation.
2. Re-appointment of Mrs. Neha Sureka, (DIN: 10759936), who retired at the AGM and being
eligible was re-appointed as the Non-Executive Nominee Director of the Company, liable to
retire by rotation.
3. Ratify and confirm the payment of remuneration to Mr. Sachinderpalsingh Jitendrasingh
Bhinder, (DIN:08697657) former Managing Director and Chief Executive Officer of the
Company.
4. Appointment of Mr. Vivek Anant Karve (DIN: 06840707) as an Independent Director of the
Company.
5. Appointment of Mr. Vellur Gopalaraghavan Kannan (DIN: 03443982) as an Independent
Director of the Company.
Mr. Nikhil Omprakash Gahrotra, Mrs. Neha Sureka, Mr. Vivek Anant Karve and Mr. Vellur
Gopalaraghavan Kannan have not been debarred from holding the office of director by virtue
of any SEBI order or any other such authority as required under BSE circular no.
LIST/COMP/14/2018-19 dated June 20, 2018, and the National Stock Exchange of India
Limited Circular with ref. no. NSE/CML/2018/24, dated June 20, 2018.
6. Authorization to the Board of Directors of the Company (“Board” which term shall be deemed
to include any Committee of the Board) to offers and / or invitations and / or issue and/or
allot in one or more tranches/series, Listed/Unlisted Non-convertible Debentures (NCDs)
including but not limited to subordinate debentures, bonds, and/or other debt securities for
an amount not exceeding Rs. 9,000 crore (Rupees nine thousand crore only) on private
placement basis during a period of 1 (one) year from the date of AGM i.e., till September
15, 2027.
