the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”).

Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

GIST OF THE PROCEEDINGS OF THE 50TH ANNUAL GENERAL MEETING OF
BALRAMPUR CHINI MILLS LIMITED HELD ON WEDNESDAY, 16TH SEPTEMBER, 2026
The 50th Annual General Meeting (“AGM”/”Meeting”) of the Members of the Company was
duly convened and held on Wednesday, 16th September, 2026 at 04:00 P.M. (IST) through Video
Conferencing (VC) / Other Audio Visual Means (OAVM) in accordance with applicable
provisions of the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 read with applicable circulars issued by MCA and SEBI.
Mr. Manoj Agarwal, Company Secretary & Compliance Officer, welcomed the Members
attending the AGM and informed that the said AGM was being conducted through VC as per
the applicable Circulars issued by MCA and SEBI in this regard. Mr. Agarwal also briefed the
Members about the aspects pertaining to participation at the Meeting through VC/OAVM. He
then informed that the statutory registers and other relevant documents, as mentioned in the
Notice of the AGM ( “Notice”), have been made available electronically for inspection by the
Members during the AGM. The Members can send their inspection request to
secretarial@bcml.in. .
Total 107 Members attended the Meeting as per the records of attendance.
Mr. Vivek Saraogi, Chairman and Managing Director of the Company, chaired the proceedings
of the Meeting, except for item nos. 5 and 6 for which Dr. Indu Bhushan, Lead Independent
Director was considered to be the Chair. As the requisite quorum was present, the Chairman
called the Meeting to order. Thereafter, he introduced other Directors, Chief Financial Officer and
the Company Secretary. All the Directors were present during the Meeting. The representatives
of the Statutory Auditors as well as the Secretarial Auditors were also present through video
conferencing.
Thereafter, the Notice convening the 50th AGM along with the Audited Financial Statements,
Board’s Report and Auditors’ Report for the financial year 2025-26, were taken as read with the
consent of the Members present. The Chairman mentioned that since there were no qualifications,
observations or any adverse remarks made by the Statutory Auditors in the Auditor’s Report and
the Secretarial Auditors in the Secretarial Audit Report, the same were not required to be read.

The Chairman informed that in compliance with the provisions of the Companies Act, 2013 read
with the Rules made thereunder and SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, the Company has extended remote e-voting facility to its Members, to cast
vote on the businesses set out in the Notice. The said remote e-voting facility was made available
through our Registrar & Share Transfer Agent, KFin Technologies Limited (“KFin”) from 13th
September, 2026 (10:00 A.M. IST) to 15th September, 2026 (5:00 P.M. IST).
The Chairman further informed that Members who did not cast their votes through remote e-
voting facility and who were present in the meeting would have an opportunity to cast their votes
through e-voting facility available during the AGM.
The Chairman informed that CS Amber Ahmad (Membership No.: FCS-9312 and C.P. No. 8581),
Proprietor of Amber Ahmad & Associates, Company Secretaries, Kolkata was appointed as the
Scrutinizer for the purpose of scrutinizing the voting process through remote e-voting and e-
voting at the AGM in a fair and transparent manner.
Thereafter, the Chairman gave an overview of the performance of the Company and future
outlook. In his speech, the Chairman highlighted inter-alia views on E20 related concerns, the
recent firming of sugar prices and future outlook of the sugar, ethanol industry. He also updated
the Members on the progress of the Polylactic Acid (PLA) project.
The Chairman thereafter invited the Members to give their views and raise queries on the
financials of the Company. Members gave their views and raised queries on various aspects,
which were duly noted and responded by the Chairman and Managing Director, the Executive
Director, the Chief Financial Officer and the Company Secretary of the Company.
The Chairman further informed that the window for electronic voting will remain open for 15
minutes to allow the Members to cast their votes. The Chairman announced that the results shall
be submitted to the Stock Exchanges within two working days of the conclusion of the meeting,
in the prescribed format and the said results along with the Consolidated Scrutinizer’s Report on
remote e-voting and e-voting during the AGM, shall also be placed on the Company's website
and the website of KFin as well. The Chairman also thanked all the Members for their presence
and participation.
Thereafter, the electronic voting through Insta Poll was conducted smoothly.
The voting results along with the Scrutinizer's Report will be submitted separately.
The Meeting concluded at 05.05 P.M. (including time allowed for e-voting at the meeting).
