(“AGM”) of the Company for the Financial Year 2025-26, was held on Wednesday, September 16, 2026,
commenced at 3:00 P.M. (IST) through Video Conferencing (“VC”)/ Other Audio Visual Means
(“OAVM”) in compliance with guidelines/circulars issued by Ministry of Corporate Affairs (“MCA”) and
Securities Exchange Board of India (“SEBI”) from time to time.
In this regard, please find enclosed the summary of the proceedings of the AGM pursuant to Regulation
30 and 51 of the Listing Regulations read with circulars issued thereunder as Annexure-1.

Summary of the Proceedings of the 16th Annual General Meeting (“AGM”) of Aavas Financiers
Limited (“The Company”).
Mr. Saurabh Sharma, Company Secretary and Compliance Officer of the Company, welcomed the
Members, Directors and Auditors to the 16th AGM of the Company and informed that the Meeting was
being conducted through video conferencing in accordance with the applicable provisions of the
Companies Act, 2013 and the Rules made thereunder, SEBI Listing Regulations and the circulars issued
by the Ministry of Corporate Affairs and SEBI.
Chairperson:
Mr. Vellur Gopalaraghavan Kannan, Chairperson of the Company, presided over the Meeting as
Chairperson in terms of the Articles of Association of the Company.

Quorum:
With the permission of the Chairperson, the Company Secretary confirmed the presence of requisite
quorum as required under Section 103 of the Companies Act, 2013, at the commencement of the Meeting
through Video Conferencing and Other Audio Visual Means, to conduct the proceedings of the Meeting
and also ensured that the quorum was also present while transacting the business items of the Meeting.
The Company Secretary informed the Members that, in accordance with the Articles of Association of the
Company, Mr. Vellur Gopalaraghavan Kannan, Chairperson of the Company, would Chair the 16th AGM of
the Company.
General Instructions for Conduct of the AGM:
The Company Secretary apprised the Members of the regulatory and procedural arrangements relating
to the conduct of the Meeting, including participation through video conferencing, availability of statutory
registers and documents for inspection, remote e-voting and e-voting facility during the Meeting,
appointment of the scrutinizer, speaker shareholder mechanism, process for raising queries by Members
and the manner in which the proceedings of the Meeting would be conducted.
After briefing the Members on the aforesaid matters, the Company Secretary thereafter requested Mr.
Vellur Gopalaraghavan Kannan, Chairperson and Independent Director of the Company to begin with the
proceedings of the Meeting.
Proceedings of the Meeting:
Mr. Vellur Gopalaraghavan Kannan, Chairperson and Independent Director of the Company, Chaired the
proceedings of the Meeting. The Chairperson welcomed the Shareholders to the Annual General Meeting
of the Company and expressed gratitude for their continued trust, confidence and support.
During his address, the Chairperson emphasized that trust remains the cornerstone of a sustainable
financial institution and reiterated the Company's commitment towards customer-centricity, strong
corporate governance, ethical business practices, long-term value creation and sustainable growth.
The Chairperson acknowledged the guidance and contribution of the Board of Directors, the leadership of
Chief Executive Officer (“CEO”), employees, regulators, lending partners, promoters and other
stakeholders towards the growth and success of the Company.
The Chairperson also noted that the Annual Report for the Financial Year 2025-26, together with the
Directors' Report and Audited Financial Statements, had been circulated to the shareholders and, with
their permission, was taken as read.
The Chairperson concluded his address by thanking all Stakeholders for their continued support and
reaffirmed the Company's focus on achieving long-term growth and prosperity.
Thereafter, Chairperson requested, Mr. Manu Yeshpal Singh, CEO, to present the performance report of
the Company for the Financial Year 2025-26 and requested Mr. Saurabh Sharma, Company Secretary
and Compliance Officer to thereafter take the proceeding ahead.
The CEO addressed the shareholders and reiterated the Company's commitment to enabling home
ownership for low and middle-income families in underserved and unserved markets. He highlighted the
induction of CVC Capital Partners as promoter during FY 2025-26 and the Company's continued focus on
Technology, Analytics, Digital Transformation and Operational Excellence.
The CEO highlighted the following key performance and business achievements of the Company during
Financial Year 2025-26:
• Assets Under Management increased by 15% to ₹23,451 crore;
• Disbursements grew by 11% to ₹6,775 crore;
• Net Interest Margin improved to 7.93%;
• Net worth crossed ₹5,000 crore and the balance sheet crossed ₹20,000 crore;
• Capital Adequacy Ratio stood at 44.6%;
• Branch network expanded to 435 branches across 13 States and 2 Union Territories;
• Total live customer accounts reached approximately 2.7 lakh;
• Cost of funds improved, supported by a diversified borrowing profile and strong liquidity position;
• Gross Stage 3 and Net Stage 3 assets stood at 1.05% and 0.68%, respectively; and
• Net profit increased by 14% to ₹654.9 crore.
