We wish to inform you that 16th Annual General Meeting (‘AGM’) of the Company was duly held
today i.e., Wednesday, September 16th, 2026 at 03:00 P.M. (IST) through Video Conferencing
(‘VC’) / Other Audio-Visual Means (‘OAVM’) and concluded at 04:30 P.M. (IST).
The remote e-voting on all the resolutions set out in the Notice of the AGM was conducted
during the period from Saturday, September 12, 2026 (09:00 A.M. IST) and ends on Tuesday,
September 15, 2026 (05:00 P.M. IST). The facility to cast vote through e-voting was also made
available during the AGM to the members who did not cast their vote through remote e-voting.
In view of the above, we submit the Brief Proceedings of the AGM of the Company in
compliance with Regulation 30, Part A of Schedule III of SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’).
Further, in compliance with the MCA circulars, the transcript of the AGM will also be uploaded
on the Company’s website.

Summary of Proceedings of 16th Annual General Meeting
The 16th Annual General Meeting (‘AGM’) of the Members of Enviro Infra Engineers Limited
(‘Company’) was held today i.e., on Wednesday, September 16, 2026 at 03:00 P.M. (IST) through
Video Conferencing (‘VC’) / Other Audio-Visual Means (‘OAVM’) and concluded at 04:30 P.M.
(IST) (including time allowed for E-Voting at the AGM). The Meeting was conducted in
compliance with the relevant circulars issued by the Ministry of Corporate Affairs (‘MCA’) and the
Securities and Exchange Board of India (‘SEBI’) from time to time and other applicable
provisions of the Companies Act, 2013.
The proceedings of AGM were deemed to be conducted at the Registered Office of the Company
i.e., Unit 201, 2nd Floor, R G Metro Arcade, Sector-11, Rohini, New Delhi – 110085.

Mr. Piyush Jain, Company Secretary and Compliance Officer of the Company welcomed all
the members attending the AGM of the Company held through VC/OAVM, on the platform
provided by Bigshare Services Private Limited, in compliance with the circulars issued by
Ministry of Corporate Affairs (‘MCA’) and Securities and Exchange Board of India (‘SEBI’) from
time to time and other applicable provisions and provided a brief on the modalities for
participation/process to be followed while attending the meeting.
Thereafter, he introduced all the Directors, Senior Management Personnel(s) and Key
Managerial Personnel(s) (‘KMPs’) present at the meeting through VC/OAVM. He also
confirmed the presence of Mr. Deepak Aggarwal, representatives of M/s S S Kothari Mehta &
Co., LLP, Statutory Auditors, Mr. Alok Jain, Proprietor of M/s Jain Alok & Associates, Practicing
Company Secretaries – Secretarial Auditors and Scrutinizer, at the meeting through
VC/OAVM.
He also informed that the Statutory Registers and other relevant documents referred to in the
Notice of the AGM were available for inspection electronically.
Thereafter, Mr. Sanjay Jain, Chairman took the chair and welcomed the members to the AGM
of the Company. After ascertaining that the requisite quorum was present, he called the
meeting to order.
The Chairman addressed the Members and apprised them of the Company’s performance
and key developments during FY 2025-26, including the Company’s financial performance,
strong order book, continued strengthening of its core water and wastewater business,
expansion of its Operations & Maintenance portfolio, and the development of its renewable
energy platform across solar, battery energy storage systems and wind energy. He also
highlighted the Company’s focus on disciplined execution, prudent capital allocation,
strengthening recurring revenue streams, and pursuing opportunities in the circular economy.
The Chairman further outlined the Company’s priorities and growth objectives for FY 2026-27
and acknowledged the contribution of employees, customers, lenders, business partners and
other stakeholders. He also apprised the Members of the Company’s CSR initiatives and its
efforts towards creating a meaningful social impact in the communities served by the
Company.
Thereafter, the Managing Director addressed the Members and presented an overview of the
Company’s operational performance and growth strategy. He highlighted the strengthening of
the Company’s water and wastewater business, significant order wins and geographical
expansion, the robust consolidated order book of approximately ₹6,814 crore, and the
growing Operations & Maintenance portfolio providing recurring revenue visibility. He also
apprised the Members of the Company’s expanding renewable energy platform across solar,
Battery Energy Storage Systems and wind energy, including the acquisition of Suyog Urja.
Further, he outlined the Company’s focus on advanced wastewater treatment, resource
recovery and circular economy opportunities, and emphasised execution discipline, working
capital management, prudent bidding and capital allocation as key priorities for FY 2026-27.
The Managing Director also reiterated the Company’s long-term growth objectives and
commitment to sustainable and profitable growth while creating value for all stakeholders.
On conclusion of the address by the Chairman and the MD, the Company Secretary informed
the Members that the Notice of the AGM, along with the Explanatory Statement and the
Annual Report for FY 2025-26, had already been circulated to the Members and was available
on the Company’s website. With the consent of the Members, the Notice and the Reports
were taken as read, as there were no qualifications, observations or comments in the
Statutory Auditors’ Report
The members were further informed, that in accordance with the provisions of Companies
Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
(‘SEBI Listing Regulations’), the Company had provided the remote e-voting facility to the
members (which started at 09:00 A.M. IST on Saturday, September 12, 2026 and concluded
at 05:00 P.M. IST on Tuesday, September 15, 2026 to cast their votes on all the resolutions
set forth in the Notice of the AGM. Members who were participating in the meeting and had
not casted their votes through remote e-vot
