C/1, G Block Phiroze Jeejeebhoy Towers, Dalal Street Bandra-Kurla Complex, Bandra (E), Mumbai – 400001 Mumbai - 400051 Scrip Code: 533761 Scrip Symbol: GPTINFRA ISIN: INE390G01014 Dear Sir/Madam, Sub: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Ref: Scheme of Amalgamation (“Scheme”) of Alcon Builders and Engineers Private Limited (Transferor Company No.1) and Jogbani Highway Private Limited (Transferor Company No.2) with and into GPT Infraprojects Limited (Transferee Company) and their respective shareholders and creditors pursuant to Section 230 to 232 read with other applicable provisions of the Companies Act, 2013 In furtherance to our earlier intimation made on May 20, 2026 regarding the decision of the Board of Directors of GPT Infraprojects Limited approving the Scheme of Amalgamation (“Scheme”) of Alcon Builders and Engineers Private Limited (Transferor Company No.1), a wholly-owned subsidiary of GPT Infraprojects Limited, and Jogbani Highway Private Limited (Transferor Company No.2), a wholly-owned subsidiary of GPT Infraprojects Limited, with and into GPT Infraprojects Limited (Transferee Company) and their respective shareholders and creditors pursuant to Sections 230 to 232 of the Companies Act, 2013 and other relevant provisions, applicable rules and/or regulations, we would like to inform you that the Hon’ble National Company Law Tribunal, Kolkata Bench (“Hon’ble NCLT”) has pronounced its order on September 15, 2026 and the said order was uploaded on the website of the Hon’ble NCLT on September 16, 2026. The Hon’ble NCLT has, inter alia, issued directions for convening the meeting of the equity shareholders of the Transferee Company, meeting of the secured creditors and unsecured creditors of Transferor Company No.1 and the Transferee Company for considering and approving the Scheme of Amalgamation within 90 days from the date of pronouncement of the order, at such date and time as may be decided by the Chairperson in consultation with the Transferee Company and as per their mutual convenience. The meetings of the equity shareholders of both the Transferor Companies and the meeting of the preference shareholders of Transferor Company No.2 have been dispensed with. The meeting of the unsecured creditors of Transferor Company No.2 has also been dispensed with. Further, there was no requirement to convene a meeting of the secured creditors of Transferor Company No.2, as there are no secured creditors of the said Transferor Company.
