Further to the above-referred letters and in terms of Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time (‘Listing Regulations’), we wish to inform you that the Board of Directors of the Company, at its meeting held today, i.e. September 16, 2026, which commenced at 04:25 P.M. (IST) and concluded at 04:40 P.M. (IST), has, on the recommendation of the Nomination and Remuneration Committee dated September 10, 2026, inter alia, transacted the following business: 1. Took note of and placed on record the Notification No. AIS/35.2026/37/Ser(I) dated September 05, 2026 issued by the Government of Gujarat, General Administration Department, by which the Government of Gujarat has, in exercise of its entitlement under Article 136 of the Articles of Association of the Company, nominated and appointed Shri Sanjeev Kumar, IAS (DIN: 03600655) as a Government Director of the Company, with effect from September 09, 2026 and assigned him the Charge of the Post of Managing Director of the Company. 2. Approved the appointment of Shri Sanjeev Kumar, IAS (DIN: 03600655) as a Director and as the Managing Director, designated as Key Managerial Personnel of the Company within the meaning of Section 2(51) read with Section 203 of the Companies Act, 2013, with effect from September 09, 2026, being the date of assumption of charge, to hold office until further orders of the Government of Gujarat, subject to a maximum period of five (5) years from the said date, pursuant to Article 171 of the Articles of Association of the Company read with Sections 196, 197 and 203 of the Companies Act, 2013, in consultation with the Government of Gujarat, and subject to the approval of the Members of the Company. 3. Took note of and placed on record the cessation of Shri Rajkumar Beniwal, IAS (DIN: 07195658) as the Managing Director and as a Director of the Company with effect from September 09, 2026, consequent upon his relinquishment of charge pursuant to the aforesaid Notification of the Government of Gujarat and his resignation dated September 09, 2026. Shri Sanjeev Kumar, IAS (DIN: 03600655) is not debarred from holding office of Director by virtue of any SEBI order or any such authority. He is a 1998-batch officer of the Indian Administrative Service (IAS) from the Gujarat cadre. He has completed his B.Tech. (Hons.) at IIT Kharagpur and his M.P.A. at the Hubert H. Humphrey School of Public Affairs, University of Minnesota, USA. With over 28 years of experience in public administration, he has been a key driver in promoting sustainable development across various sectors, including finance, energy, petrochemicals, and environmental governance. He has rich knowledge and wide experience of working in various Government Departments and Public Sector Undertaking. He has served in various capacities in Panchayats, Rural Development, Finance, General Administration (Planning), Commercial Taxes, Energy & Petrochemicals, Forest & Environment, Climate change, Urban Development and Urban Housing Department and other departments, and listed state PSUs has given him the exposure and in-depth understanding of various sectors and grassroots issues.
