SUMMARY OF PROCEEDINGS OF THE 36TH ANNUAL GENERAL MEETING OF
AMBER ENTERPRISES INDIA LIMITED
The 36th Annual General Meeting (“AGM”) of the Members of Amber Enterprises India Limited (‘the
Company’), was held on Wednesday, 16th day of September 2026, through Video Conference (“VC”) / Other
Audio Visual Means (“OAVM”), in compliance with the circulars issued by the Ministry of Corporate Affairs
(“MCA”) and the Securities and Exchange Board of India (“SEBI”).
The deemed venue of the Meeting was the registered office of the Company i.e. C-1, Phase II, Focal Point,
Patiala, Rajpura – 140 401, Punjab. The AGM commenced at 11:00 A.M. (IST) at concluded at 12:22 P.M. (IST).

Confirmation to Company Secretary and Compliance Officer before starting the virtual AGM
Ms. Sarita, confirmed to the Company Secretary and Compliance Officer that sufficient Members to
constitute quorum, had logged in as participants and that the Statutory Auditors, Secretarial Auditor and
scrutinizers had also logged in for the meeting.

Ms. Konica Yaadav, Company Secretary and Compliance Officer of the Company, thereafter thanked Ms.
Sarita and welcomed all the participants to the 36th Annual General Meeting (“AGM”) of the Company being
held through VC facility. She then introduced the Directors, Key Managerial Personnel (KMPs), Auditors,
and Special Invitees of the Company to the Members.
The number of shareholders as on record date 7th September 2026 was 1,24,595

The Company Secretary and Compliance Officer then informed the Members that:
All the Directors of the Company were present at the Meeting, except Mr. Daljit Singh. The Chairpersons
of all the Committees constituted by the Board of Directors, including the Audit Committee, the
Nomination and Remuneration Committee, and the Stakeholders' Relationship Committee, were also
present at the Meeting through VC facility.
Authorised Representative of M/s S.R. Batliboi & Co. LLP, Chartered Accountants, Statutory Auditors of
the Company, Mr. Sparsh Gupta, were present at the Meeting through VC.
Mr. Vikram Jhawar, Scrutinizer for the remote e-voting process and e-voting during the AGM, was also
present at the Meeting through VC.
The Company had provided the Members with the facility to cast their votes electronically on all the
resolutions set forth in the Notice convening the AGM. Members attending the AGM through VC/OAVM
who had not cast their votes through the remote e-voting facility were provided an opportunity to cast
their votes through the e-voting system during the AGM.
As the AGM was being held through VC, the requirement relating to appointment of proxies has been
dispensed with in accordance with the applicable regulatory provisions, and, accordingly, the proxy
register was not available for inspection.
The statutory registers and other documents required to be made available under the provisions of the
Companies Act, 2013, were open for inspection during the AGM.
As the requisite quorum was present at the AGM, the Chairman called the meeting to order.
CHAIRMAN’S SPEECH
Mr. Jasbir Singh, Executive Chairman & Chief Executive Officer and Whole-Time Director of the Company,
addressed the Members and delivered his speech. He highlighted the Company's performance during
Financial Year 2025-26 and stated that despite a challenging macroeconomic environment, the Company
delivered strong growth across all its three business divisions, reflecting the strength of its diversified
business model and execution capabilities.
He stated that the year reflected the resilience of the Amber Group, supported by its diversified business
model, with all three business Divisions delivering growth. He noted the Group's continued diversification
through strategic investments in Power-One, Shogini Technoarts and Unitronics (Israel), the expansion of
Ascent Circuits and Ascent-K Circuit facilities under the Electronics Division, and the Company's entry,
through a Manufacturing Collaboration Agreement executed in June 2026 with OPPO Mobiles India Private
Limited, into manufacturing of mobile phones for the OPPO, OnePlus and Realme brands.
The Chairman referred to the macroeconomic environment during FY 2025-26 as having remained complex
on account of geopolitical uncertainties, supply chain disruptions and commodity price volatility, while
noting that India's economic fundamentals remained resilient, aided by government initiatives such as the
Production Linked Incentive and Electronics Component Manufacturing Scheme in furtherance of the
