Dear Sir/Ma’am,
We wish to inform that 30" Annual General Meeting (“AGM”) of the Company was held today at 11:30
A.M. (IST) through video conferencing/ other audio visual means (“VC/OAVM”) in compliance with the
applicable provisions of the Companies Act, 2013 and relevant circular(s) issued by the Ministry of
Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”) from time to time to
transact the businesses as mentioned in the Notice of 30™ AGM.
Mr. Sanjeev Kumar, Company Secretary & Compliance Officer of the Company welcomed the members
and others present at the AGM. He informed the members that the Company had provided the facility to
cast their votes by remote e- voting as well as by e-voting (Insta-poll) at the AGM, on all the resolutions
set forth in the Notice of AGM. He further informed that the e-voting system was made available during
the AGM for the Members who had not exercised their votes earlier through remote e-voting.
Mr. Sanjeev Kumar informed that requisite quorum was present at the AGM as per provisions of the
Companies Act, 2013. Thereafter Mr. Sanjeev Kumar requested Mr. Surendra Kumar Arya to take the Chair
and to continue the AGM proceedings. Total 133 members attended the AGM.
Mr. Surendra Kumar Arya, Chairman of the Company, accordingly took the Chair and commenced the
formal proceedings of the AGM. The Chairman welcomed all the members present and introduced the
Directors, Key Managerial Personnel’s and representatives of Statutory Auditors, Secretarial Auditors and
Scrutinizer. All the Directors of the Company were present at the AGM.
Thereafter, the Chairman addressed the members at the 30th Annual General Meeting of the Company,
providing an overview of the macroeconomic environment and the evolution of the EV sector. He
highlighted the Company’s robust order book of over 10,000 electric buses, including a single prestigious
order of 1,021 e-buses valued at approximately 5,500 Crore. He further outlined the ongoing
capital-raising plan of up to %40 Billion, expansion of the JBM E-Verse platform for vertical integration,
successful international deployments in Dubai, Jakarta and Bali, and reaffirmed the Company’s
commitment to achieving Net Zero Operations by 2040.
The Chairman further highlighted the performance of the Company on consolidated basis for the FY26 as
mentioned hereunder-

Total Income reached %6,227.30 Crore, registering a 12.7% increase over the previous year.
EBITDA stood at X843.83 Crore, reflecting 15.5% growth compared to the previous year.
Profit After Tax (PAT) increased to X238.07 Crore, up 10.9% from the previous year.
Earning Per Share (EPS) rose to X9.25, representing an 8.4% increase over the previous year.
The Chairman then expressed his gratitude towards each member for their participation in this virtual
Annual General Meeting conducted through video conferencing. The Chairman informed the Members
that the all requisite statutory registers and other necessary documents were made available
electronically during the AGM for inspection by the Members.
With the permission of the members presentth,e Notice of the AGM and Annual Repoforr tthe FY26 were
taken as read. The Chairman further informed that there were no qualifications, observations or adverse
comments in the Statutory Auditors’ Report and Secretarial Auditors’ Report. Accordingly, with the
consent of the members present, the Auditors Report was taken as read.
The following items of businesses, as set out in the Notice convening the 30™ AGM, were commended for
members' consideration and approval:

(DIN: 02167497) as an Independent Director of the Company after attaining
the age of Seventy-Five Years.
The Chairman informed the members that the Company has appointed Mr. Dhananjay Shukla (FCS 5886
& CP No. 8271), Managing Partner of M/s. Dhananjay Shukla & Associates, Company Secretaries, as a
Scrutinizer to scrutinise the remote e-voting process and e-voting at the AGM in a fair and transparent
manner and to submit his report thereon.
A fair opportunity was given to the Members of the Company who had registered themselves as speakers
to express their views / ask questions and the same were adequately answered/ clarified by the Chairman.
The Chairman further informed the members that e-voting facility during the AGM would remain open
for 15 minutes post conclusion of the AGM to enable those Members who had not cast their votes through
remote e-voting prior to the AGM to cast their votes electronically.
Thereafter, the Chairman thanked all the members for participating in the AGM and declared the AGM
proceedings as concluded.
The AGM concluded at 12:20 P.M. (including time allowed for Insta-poll at AGM).
The Company Secretary & Compliance Officer of the Company informed that the voting Results in the
prescribed format as per Regulation 44(3) of the SEBI Listing Regulations along with the Consolidated
Scrutinizer’s Report shall be communicated to the Stock Exchanges within a stipulated time from the
conclusion of AGM and shall also be simultaneously placed on the website of the Company.
