Towers, Bandra (E), Dalal Street Fort, Mumbai - 400051 : Mumbai- 400001 SCRIP CODE: VARDMNPOLY SCRIP CODE: 514175 (Equity) 977714 (Debt) Subject: Intimation regarding part repayment of principal amount of OCDs Pursuant to the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, and in continuation of the earlier disclosures made by the Company in relation to the sale/monetisation of its land situated at Village Mundian Khurd, Focal Point, Ludhiana, Punjab, we wish to inform the Exchanges that the Company has today, i.e. September 15, 2026, made a payment of Rs.1,50,00,000/- (Rupees One Crore Fifty Lakhs only) towards part repayment/redemption of the principal amount of the secured, redeemable and optionally convertible debentures (“OCDs") held by Special Situation India Fund. The aforesaid amount has been paid out of the advance amount received by the Company against the sale consideration of the aforesaid Ludhiana land property. The entire sale consideration in respect of the said property has not yet been received by the Company. The aforesaid part repayment is being made pursuant to the provisions relating to mandatory redemption of the OCDs out of proceeds received from monetisation of the Company's mortgaged properties, as contained in paragraph 2.3(c) of Schedule 1 of the OCD Subscription cum Trust Deed, and pursuant to the instructions of the Debenture Holder. The said provision permits the outstanding Debentures to be mandatorily redeemed in part or in full upon monetisation of the specified mortgaged property. As per the instructions of the Debenture Holder, the aforesaid part repayment of Rs.1,50,00,000/- is being effected by way of pro-rata reduction in the face value/principal amount of each of the 1,500 outstanding OCDs. Accordingly, the position shall be as follows: Particulars Before Part Redemption | After Part Redemption Number of OCDs 1,500 1,500 Face value/principal per OCD | Rs.1,00,000 Rs.90,000 Aggregate principal amount | Rs.15,00,00,000 Rs.13,50,00,000 Thus, following the aforesaid part repayment, the number of OCDs will remain unchanged at 1,500, while the face value/principal amount of each OCD will stand reduced from Rs.1,00,000/- to Rs.90,000/-, resulting in an aggregate reduction in outstanding principal of Rs.1,50,00,000/-.
