Pursuant to Regulation 30(2) of the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015 (“SEBI (LODR) Regulations, 2015”) read with Para – A of Part – A of Schedule III of the SEBI (LODR) Regulations, 2015, we enclose herewith proceeding of the AGM of the Company as “ANNEXURE-A”. No. : ACS23729 Enclosure: a/a “ANNEXURE-A” The 39th Annual General Meeting (‘‘39th AGM/Meeting’’) of members of Tinna Rubber and Infrastructure Limited (“the Company”) was held on Tuesday, September 15, 2026 through Video Conferencing (VC)/Other Audio Visual Means (OAVM) in accordance with the various circulars issued by the Ministry of Corporate Affairs (MCA) and Securities and Exchange Board of India (SEBI), from time to time. Mr. Bhupinder Kumar Sekhri, Chairman cum Managing Director of the Company, Chaired the proceedings of the 39th AGM of the Company and after ascertaining the requisite quorum, the meeting was called in order and the proceedings of 39th AGM was initiated with the permission of Chairman. Mr. Sanjay Kumar Rawat, Company Secretary & Compliance Officer of the Company welcomed the members of the Company, Board members and other invitees present and attending the 39th AGM of the Company. The Company Secretary acknowledged the attendance of the Board members, other Invitees and representatives of M/s. S.S. Kothari Mehta & Co. LLP, Statutory Auditors and M/s. Ajay Baroota & Associates, Secretarial Auditors of the Company, at the 39th AGM. The Company Secretary requested and accordingly Mr. Bhupinder Kumar Sekhri, Chairman cum Managing Director and subsequently Mr. Gaurav Sekhri, Joint Managing Director, addressed the shareholders at the 39th AGM. The Director’s Report, Auditor’s Report and Audited Financial Statements for the financial year ended March 31, 2026 as a part of the Annual Report along with notice convening the 39th AGM, being circulated through email on August 24, 2026 and a letter having details of web link and path of annual report sent to shareholders with the permission of the members present, were taken as read. Further, the updated annual report basis on the corrigendum filed to regulatory authorities after correction of certain identified reference and errors was also taken on record. The Company Secretary informed the Members that the Company extended the facility to exercise their rights to vote by electronic means through remote e-voting facility provided by National Securities Depository Limited (“NSDL”) with respect to the items to be transacted at 39th AGM. The e-voting period commenced on Friday, Sep 11, 2026 at 9:00 A.M. IST and concluded on Monday, Sep 14, 2026 at 5:00 P.M. IST. In remote e-voting, the shareholders had voting rights in equal proportion to their fully paid up shares held. Members, who already voted through remote e-voting process, was not barred from participating in the meeting, but was not entitled to e-vote again in the 39th AGM. The Company Secretary further informed that the shareholders who could not exercise their votes electronically, the e-voting facility at 39th AGM remained open for another 15 minutes from the conclusion of 39th AGM, and only they can cast their votes during this time. The Company Secretary informed the Members in detail about the business(es) as mentioned all resolution(s) set out in the 39th AGM notice as follows:- Item No. Business Item Resolution A. Ordinary Business(es) 1 To receive, consider and adopt the audited standalone financial Ordinary Resolution statements of the company for the financial year ended on March 31, 2026, together with the reports of the Board of Directors and Auditors thereon for the financial year ended on March 31, 2026. 2 To receive, consider and adopt the audited consolidated financial Ordinary Resolution statements of the company for the financial year ended on March 31, 2026, together with the reports of Auditors thereon for the financial year ended on March 31, 2026. 3 To declare a final dividend of ₹3.25/- (32.50%)) per equity share of Ordinary Resolution face value of ₹ 10/- for the financial year 2025-26. 4 To appoint a Director in place of Mr. Gaurav Sekhri (DIN: Ordinary Resolution 00090676), who retires by rotation and being eligible offers himself for re-appointment. B. Special Business(es) 5 Approval for re-appointment of Mr. Sanjay Kumar Jain (DIN: Special Resolution 01014176), as an Independent Director of the Company, for the second (2nd) term of consecutive 5 years with effect from October 20, 2026. 6 Approval of re-appointment and remuneration of Mr. Subodh Kumar Special Resolution Sharma (DIN: 08947098), as Whole time Director of the Company, for a period of 3 consecutive years with effect from November 04, 2026. 7 Approval of remuneration of Mr. Bhupinder Kumar Sekhri (DIN: Special Resolution 00087088), Chairman cum Managing Director of the Company, effective from April 01, 2026. 8 Approval of remuneration of Mr. Gaurav Sekhri (DIN: 00090676), Special Resolution Joint Managing Director of the Company, effective from April 01, 2026. 9 Approval of rectification of remuneration M/s. Pant S. & Associates, Ordinary Resolution Cost Auditors of the Company, for the financial year 2026-27. 10 Approval of remuneration of Mr. Shobha Sekhri, holding office or Ordinary Resolution place of profit in the Company, effective from April 01, 2026. 11 Approval of remuneration of Mr. Arnav Sekhri, holding office or Ordinary Resolution place of profit in the Company, effective from April 01, 2026. Shareholders were further informed that Mr. Ajay Baroota, M/s. Ajay Baroota & Associates, Practicing Company Secretaries, was appointed as Scrutinizer to scrutinize the e voting at the meeting and remote e-voting process in a fair and transparent manner. The voting results along with the consolidated scrutinizer report, submitted by the Scrutinizer, will be published within stipulated time period and the same will be available on the company website, e-voting platform and on the websites of the stock exchanges. Thereafter, Mr. Gaurav Sekhri, Joint Managing Director, satisfactorily answered to the queries received from the shareholders and placed before the 39th AGM. The Company Secretary and the Chairman thereafter, thanked to all the Shareholders, Board members and other invitees for their participation in the 39th AGM. The 39th AGM commenced at 11:00 AM IST and concluded at 11:45 AM IST (Including time allowed for e voting).
