Towell & Co LLC (‘WJT’), an entity based in Oman, with whom the Company had entered into a Shareholders’ Agreement dated October 1, 2015 for managing the affairs of Blue Star Oman Electro Mechanical Company. The Company had, vide its disclosure dated July 23, 2026 (attached), informed that the Arbitrator had issued an Award in favour of the Company, dismissing all the claims made by WJT. WJT, as part of the legal remedies available to it, has approached the Dubai Court of Appeal seeking annulment of the Award. Annulment proceedings do not constitute an appeal or reconsideration of the merits of the Award and are confined to limited grounds. Consequent to the annulment proceedings initiated by WJT, the Company will make appropriate submissions before the Dubai Court of Appeal. The Company believes that the grounds of annulment raised by WJT are baseless. Kindly take the same on record and note that it pertains to a subsequent development in the matter and does not constitute a material update. Initially, the arbitration proceedings filed against the Company was for OMR 103,18,000 (approx. Rs 223.60 crores) plus interest @7% on the total claim amount which was then revised by WJT to OMR 2,11,80,748 (approx. Rs 461.74 crores). The intimation in this regard was duly filed with the Stock Exchange on October 2, 2024. The Company contested the said arbitration proceedings reiterating that the claims filed by WJT are frivolous, unsubstantiated, premised on fundamental factual misstatements and contrary to the overwhelming facts and evidence. After going through the submissions made by the legal counsel of both the parties, the Arbitrator has pronounced its Award, which was received by the Company vide email dated July 23, 2026 at 3:06 p.m. (I.S.T.)
