SCOPE OF REVIEW We have reviewed the accompanying statement of unaudited financial results of CMI Limited for the quarter and half year ended on 30th September 2025 attached herewith, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosll'"e Requirements) Regulations, 2015, as amended (the "Listing Regulations"). Our review was limited to this specific document as Initiated by us for ldentlflatlon. 2. RESPONSIBILITY AND ACCOUNTING FRAMEWORK This statement, which is the responsibility of the Resolution Professional of the Company, has not been prepared In accordance with the recognition and measurement principles laid down in Indian Accounting Standard 3-4, (Ind AS 3-4) "Interim financial Reporting· prescribed under Section 133 of the Companies Act, 2013 as amended. Rather, it has been prepared in accordance with the accounting principles generally accepted In India under Rule 7 of the Companies (Accounts) Rules, 2014. Our responsibility is to Issue a report on these financial statements based on our review. 3. NATURE OF REVIEW PROCEDURES We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", Issued by the Institute of Chartered Accountants of India (ICAI). This standard requires that we plan and perform the review to obtain moderate assurance as to whether the financial statements are free of material misstatement. A review is limited primarily to inquiries of company personnel and analytical procedures applied to financial data and thus provides less assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion. -4. MATTERS REQUIRING DISCLOSURE AND ACCOUNTING TREATMENT Based on our review conducted as above, we have noted following matters requiring attention in the accompanyint statement of ooaudlted financial results, which are required to be disclosed In t~s of Revu(ation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Rt!iUlatlons, 2015, Including the manner in which It Is to be disclosed, or that ft contains any material misstatement. A. GOING CONCERN CONCEPT (a) Accumulated Losses and Erosion of Net Worth The accumulated losses of the company at the close of 30th September 2025 amounting to Rs. 16,863.91 lakhs as against which the paid-up capital of the company Is Rs.1,603.07 Lakhs. The losses have totally eroded the net worth of the company. The company has been incurring continued losses for the past many years, which raises significant concerns regarding the going concern assLmption. (b) Non-Compliance with IND AS Disclosure The Company is under corporate insolvency resolution process under the Insolvency and Bankruptcy Code, 2016 (IBC). The financial Statements are prepared in accordance with the accounting principles generally accepted In India, Including the Accounting Standards specified under Section 133 of the Companies Act, 2013, read with Rule 7 of the Companies (Accounts) Rules, 201◄ and not IND AS. (c) Contingent Liabilities • Tax Matters liabilities may arise under litigation with the Income tax department, TDS disputes and GST department. These could not have been ascertained and calculated due to details not being available with us, in accordance with applicable provisions of the Income Tax Act, 1961, and the GST Act, 2017. (d) Fixed Assets Valuation The fixed assets register is not available. Hence, the value is taken at book value as balance brought forward from previous years and need physical verification report for the same. (e) Bank and Investment Confirmations Confirmation of loan account, bank account and investments are not available, and account balances are subject to reconciliation and verification with third parties. (f) Inventory Valuation Quantitative details of stock are not available; however, the value of stock is taken at book value as balance brought forward from previous years. (g) Confirmations and Valuations Reconciliations, valuations, (Including Property, Plant and Equipment (PPE), inventories, trade receivables, and trade payables) were not made available for our review. (h) litigation Matters Pending litigations have not been independently verified by the auditor. Adequate disclosure regarding legal proceedings and probable outcomes should be made by management in accordance with IND AS 37 (Provisions, Contingent liabilities and Contingent Assets). B, AUDITOR'S DISCLAIMER Due to th e Company being under Corporate Insolvency Resolution Process pursuant to the Insolvency and Bankruptcy Code, 2016 ("IBC") and matters described In Section ◄(A) above, we have not been able to obtain sufficient appropriate audit evidence to provide a basis for an ~udit opinion, Accordingly, we do not express an opinion on these financial statements.
