Reference: Notices dated August 25, 2026, from both BSE Limited and the National Stock
Exchange of India Limited (NSE).
Dear Sir/Madam,
With reference to the above-mentioned notices regarding the delayed compliance with
Regulation 17(1A) of SEBI (LODR) Regulations, 2015, pertaining to the quarter ended June 30,
2026, the Company has placed the relevant information before the Board of Directors in the
meeting held today i.e., 12th September, 2026. The observations of the Board in the matter is
given below for information and dissemination.
Board's Decision and Comments:
“The Board of Directors noted the notices and the reasons for the delayed compliance. The
exchanges noted a delay of 41 days in compliance and levied a total fine of Rs. 96,760 per
exchange. This was in relation to the delayed prior shareholder approval for the appointment of
Mr. S.B. Mathur as a Non-Executive Director.
The Board took note that the shareholders had already given their approval by a special
resolution on May 12, 2026. Furthermore, the Board noted that the Company made the
payments of the levied fines on August 27, 2026. Following the remittance of these fines, the
Board observed that the non-compliance matter regarding Regulation 17(1A) for the June 2026
quarter is resolved and closed. “
