The Board of Directors of M/s. Cygnet Industries Limited, at its Board Meeting held today, i.e., September 12, 2026, at the Registered Office of the Company, approved the following agenda items: 1. Appointment of Mr. Gautam Agarwalla (DIN: 00413204) and Mr. Amit Agarwalla (DIN: 00413345) as a Non-Executive Non-independent Director of the Company. 2. Appointment of Mr. Achintya Pal (DIN: 11772513) as Whole-time Director of the Company. 3. The Board took note of appointment of Non-Executive Independent Directors of the Company Mr. Rishi Bajoria (DIN: 00501157), Mr. Goutam Banerjee (DIN: 09281927) & Mrs. Charu Rajgharia (DIN: 05329700). The appointments are effective from September 12, 2026, subject to applicable statutory and regulatory requirements. 4. The Board took note of the appointment of Mrs. Nikita Rateria (Membership No. 36115) as the Company Secretary with effect from September 12, 2026, on such terms and conditions as approved by the Board. 5. To Board took note the resignation of Mrs. Snehaa Shaw as a Company Secretary of the Company with immediate effect. 6. The Board recorded the resignation of Non-Executive Independent Directors of the Company, namely, Mrs. Sarat Priya Patjoshi (DIN: 06620290), Mr. Kashi Prasad Khandelwal (DIN: 00748523) and Mr. Satish Narain Jajoo (DIN: 07524333), with effect from the close of business hours on September 12, 2026. The change in control/management of Cygnet does not result in any change in the shareholding of the Company in Cygnet, which continues to remain a wholly owned subsidiary of Kesoram Industries Limited, except to the extent otherwise disclosed pursuant to the Share Purchase Agreement.
