Thanking you, Yours faithfully, For Sanathan Textiles Limited Jude Patrick Dsouza Company Secretary and Compliance Of(cid:976)icer Encl: As above PROCEEDINGS OF 21ST ANNUAL GENERAL MEETING OF SANATHAN TEXTILES LIMITED The 21st Annual General Meeting (‘AGM’) of Sanathan Textiles Limited (‘the Company’) was held today i.e. Friday, September 11, 2026 at 4.00 P.M. IST through Video Conferencing/Other Audio- Visual Means (‘VC/OAVM’). The AGM commenced at 4.00 P.M. IST. The Meeting was conducted in accordance with relevant Circulars issued by the Ministry of Corporate Affairs (‘MCA’) and the Securities and Exchange Board of India (‘SEBI’). The Company had taken all the requisite steps to enable Members to participate and vote on the items of businesses considered at the AGM. Further, the Registers as required under the Companies Act, 2013 and other documents were available for inspection in electronic mode. Mr. Jude Dsouza, Company Secretary and Compliance Of(cid:976)icer of the Company welcomed all the Members and briefed them on participation through VC. The Board of Directors had appointed Mr. Devendra V. Deshpande, Practicing Company Secretary, as a Scrutinizer for scrutinizing the remote e-Voting process as well as e-Voting at the AGM in a fair and transparent manner. The requisite quorum being present, with the permission of Chairman the Meeting was called to order. Mr. Jude Dsouza, Company Secretary and Compliance Of(cid:976)icer of the Company introduced the Directors and the Chief Financial Of(cid:976)icer of the Company. The representatives of Statutory Auditor, Secretarial Auditor, Cost Auditor and Internal Auditor were also present at the Meeting through VC. He further informed to the members that the Notice of 21st AGM of the Company and Annual Report for the (cid:976)inancial year ended March 31, 2026 was sent electronically to the members whose email addresses were registered with the Depository Participant (‘DP’) and letters were sent to the members whose email addresses were not registered with DP. The Members were informed that the Statutory Auditors and Secretarial Auditor have unquali(cid:976)ied opinion in their respective Audit Reports for the (cid:976)inancial year 2025-26. With the permission of the Members, the Notice and Audit Reports from the Statutory auditor and Secretarial auditor were taken as read. He further informed that the Company had provided through National Securities Depository Limited (‘NSDL’) the facility of remote e-Voting and e- Voting during the AGM for members of the Company to cast their votes electronically, for those members who had not voted earlier through remote e-Voting. Mr. Paresh Dattani, Chairman and Managing Director of the Company then addressed the Shareholders. He briefed the Shareholders on the Company’s strong performance during FY2025-26, key milestones including the commissioning and ramp-up of its green(cid:976)ield manufacturing facility at Wazirabad, Punjab, and the commissioning of expanded technical textile capacity at Silvassa. He also highlighted the Company’s diversi(cid:976)ied product portfolio across polyester, cotton and technical textiles, its focus on sustainable and responsible manufacturing practices, and the growth opportunities arising from the increasing adoption of man-made (cid:976)ibres and the evolving Indian textile industry. He further outlined the Company’s future expansion plans and reiterated its strategic philosophy of building capabilities (cid:976)irst and allowing growth to follow. Further, Mr. Sammir Dattani, Executive Director, further addresses the Shareholders and provided business overview and updates on capacity, value creation, sustainable green practices and future outlook. The queries made by the Shareholders were duly responded by Mr. Paresh Dattani, Chairman and Managing Director and Mr. Ajaykumar Dattani, Joint Managing Director of the Company and the formalities pertaining to e-Voting. The following items of business, as set out in Notice convening the AGM were transacted at the Meeting, which were ordinary business items for which ordinary resolutions were passed except for rati(cid:976)ication of cost auditor which was a special business item: Sr. No. Brief Description of Business transacted 1. To receive, consider and adopt the Audited Standalone Financial Statements of the Company for the Financial Year ended March 31, 2026, together with Report of Board of Directors and Auditors thereon. 2. To receive, consider and adopt the Audited Consolidated Financial Statements of the Company for the Financial Year ended March 31, 2026, together with the Report of the Auditors thereon. 3. To re-appoint Mr. Sammir Dattani (DIN:07060573), who retires by rotation as an Executive Director 4. To consider re-appointment of M/s. Walker Chandiok & Co LLP, Chartered Accountants (Firm Registration No. 001076N/N500013) as the Auditor of the Company 5. To ratify the remuneration of Cost Auditor Mr. Paresh Dattani Chairman and Managing Director, further informed the members present that the consolidated results of the voting will be declared within the applicable timelines and will be available on the website of the Company at www.sanathan.com website of the Stock Exchanges i.e. National Stock Exchange of India Limited (NSE) and BSE Limited (BSE) at www.nseindia.com and www.bseindia.com respectively and on the website of National Securities Depository Limited (NSDL) at https://www.evoting.nsdl. The Chairman thanked the Members, and other stakeholders present at the Meeting for their valuable participation and support. The Chairman also expressed his appreciation to all the Members for their continued con(cid:976)idence and support to the Company. He informed the members that the facility for e- Voting was kept open for a further period of 15 ((cid:976)ifteen) minutes after the conclusion of the Meeting to enable the Members who had not cast their votes during the Meeting to exercise their voting rights. He further authorised Mr. Jude Dsouza, Company Secretary and Compliance Of(cid:976)icer to declare the results of voting. All the resolutions as set forth in the AGM Notice have been passed with requisite majority in the 21st AGM of the Company held today i.e. Friday, September, 11, 2026 based on the report submitted by the Scrutinizer.
