As you are aware, dividend declared by Balrampur Chini Mills Limited (the Company) is remitted either electronically or by sending dividend warrant to the registered address of the shareholders. The Company has been sending periodic reminders to the shareholders to claim their Unclaimed/ Unpaid Dividend, if any. Further such requests are also made through the Annual Report of the Company. 2. As per the applicable provisions of the Companies Act, 2013 (as amended) (the Act), amount of dividends which remain unpaid or unclaimed for a period of seven years from the date of transfer to Unpaid Dividend Account is required to be transferred by the Company to the Investor Education and Protection Fund (IEPF) established by the Central Government. We regularly upload on our website (www.chini.com) and also on the website of the Ministry of Corporate Affairs, Government of India (www.iepf.gov.in), full details of such unpaid or unclaimed dividends before transferring the same to IEPF. 3. The Ministry of Corporate Affairs has notified rules namely IEPF (Accounting, Audit, Transfer and Refund) Rules, 2016 (as amended) (hereinafter referred to as IEPF Rules). The IEPF Rules, read together with all circulars/clarifications, issued thereunder, amongst other matters, contain provisions for transfer of all shares in respect of which dividend has not been paid or claimed for seven consecutive years or more, in the favour of IEPF. 4. As per Company records, it has been observed that the dividends which were remitted to you in the last seven consecutive years, since 2019-20 to 2025-26 have remained unpaid / unclaimed (as on the date of this letter). The complete details of dividend and share(s) transferred to IEPF Authority are available at company’s official website www.chini.com at the following link https://chini.com/investors/unpaid-dividend-iepf under Investor’s tab. 5. In case you wish to stop transfer of Share(s) in the name of the Fund (IEPF), you are requested to claim the above referred dividend(s) due to you by making an application in the attached Application-cum-undertaking Form immediately and send it to KFin Technologies Limited (KFIN), Registrar and Transfer Agents of the Company on or before 25th November, 2026. 6. In case we do not receive any claim from you within the time stipulated as above or such other date as may be extended, we shall, with a view of complying with the requirements of the IEPF Rules, transfer the shares to Demat Account of IEPF Authority by the due date as per procedure stipulated in the IEPF Rules, without any further notice. Please note that all benefits accruing on such shares in future shall also be transferred to the Demat Account of the IEPF Authority. Please further note that no claim shall lie against the Company in respect of unclaimed dividend amount and shares transferred to IEPF Authority pursuant to the IEPF Rules. 7. In case you hold shares in physical form and such shares are liable to be transferred to Demat Account of IEPF Authority, please note that we are required to issue a new share certificate(s)/ letter of confirmation for the purpose of transfer of shares to Demat Account of IEPF Authority as per the Rules and upon issue of such new share certificate(s), the original share certificate(s) registered in your name will stand automatically cancelled and be deemed non-negotiable. 8. In case of demise of the person to whom this letter is addressed, the legal heir(s) may please do prompt communication to Company for complying with the procedure for transmission of share(s) by submitting the required documents as per SEBI Master Circular No. HO/38/13/(4)2026-MIRSD- POD/I/4298/2026 dated 6th February, 2026. 9. However, you can claim from IEPF Authority, both the unclaimed dividend amount and the shares transferred to Demat Account of IEPF Authority, by making an application in Form IEPF-5 online and sending the physical copy of the same duly signed (as per registered specimen signature) along with requisite documents to the Company at its registered office address for verification of your claim. We shall send a verification report to IEPF Authority for refund of the unclaimed dividend amount and/or transfer of shares back to the credit of the shareholder. 10. The Rules and the application form (web Form IEPF-5), as prescribed by the Ministry of Corporate Affairs for claiming back shares/dividend are available on the website of the Ministry of Corporate Affairs at www.iepf.gov.in. 11.
